Job summary

BCG Attorney Search in Houston seeks a junior to mid-level Associate with significant US equity and debt capital markets experience to join its Capital Markets practice. You will work on sophisticated domestic and cross-border transactions, advising issuers, underwriters, investors, and financial institutions on high-profile matters.

The role offers exposure to a broad range of capital markets matters, with a focus on drafting, structuring, and advising on SEC reporting.

Qualifications

  • JD or LL.M./foreign equivalent from an accredited law school.
  • Admitted to the New York Bar or eligible and in good standing.
  • Approximately 2+ years of relevant transactional experience.
  • Experience advising on equity and/or debt capital markets transactions.
  • Strong drafting, analytical, and negotiation skills.
  • Familiarity with SEC reporting and disclosure requirements.
  • Commercial awareness and ability to see the broader business context.
  • Strong communication, organization, and time-management skills.
  • Client-service oriented, collaborative, and proactive.
  • Fluency in English; international experience is a plus.

Responsibilities

  • Advise on capital markets transactions, including IPOs, SPAC IPOs, and private placements.
  • Draft, review, and negotiate transaction documentation such as registration statements and underwriting agreements.
  • Assist in structuring debt capital markets transactions, including bond offerings and liability management transactions.
  • Support clients with ongoing SEC reporting and disclosure matters.
  • Manage drafting processes and coordinate execution with partners, clients, and internal teams.
  • Collaborate with colleagues across practices to deliver integrated solutions.
  • Develop into a trusted advisor by understanding legal and commercial aspects of offerings.
