Job summary

The Trenam Law Associate Attorney position in Tampa seeks a 3–6 year candidate for our business transactions practice. You will work on corporate matters, mergers and acquisitions, asset-based lending, and related commercial transactions, advising businesses and owners from inception to closing.

You will collaborate with partners and associates, draft and negotiate documents, conduct due diligence, and guide clients through complex deal timelines while developing strong writing and client-facing

Qualifications

• J.D. from an accredited law school is required.
• 3–6 years of relevant experience in business transactions, corporate, M&A, banking, or commercial law.
• Active license and good standing with the applicable state bar.
• Meaningful experience with M&A transactions and/or complex corporate transactions strongly preferred.
• Strong drafting, negotiation, legal research, and analytical skills.
• Excellent written and verbal communication skills.
• Ability to understand complex business issues and provide practical, focused legal advice.
• Strong attention to detail and organizational skills.
• Ability to manage multiple matters and deadlines effectively.

Responsibilities

• Represent clients in general corporate and business transactions, including entity formation, governance, and commercial agreements.
• Assist with and manage mergers and acquisitions, including acquisitions and dispositions of businesses and assets.
• Conduct and coordinate legal due diligence and prepare diligence reports.
• Draft, review, and negotiate transaction documents (purchase agreements, LOIs, NDAs, employment/equity agreements).
• Represent borrowers, lenders, and other parties in asset-based lending and secured financing transactions.
• Prepare and negotiate a variety of commercial and corporate agreements.
• Assist with corporate structuring, capitalization, and ownership transfers.
• Communicate directly with clients and transaction professionals.
• Manage transaction timelines and closing checklists.
