A prestigious mid-sized New York law firm (NLJ500) with a long and distinguished history, offering a sophisticated alternative to 'Big Law', currently have an outstanding opportunity for a Real Estate Associate to join their highly regarded Real Estate practice.

This opening is driven by continued growth in deal flow, particularly in joint venture and equity investment transactions.

You will work closely with the practice group leader, gaining exceptional experience handling complex, high-profile matters. Coming from a successful career in Wall Street being an Investment Banker, being recognized as one of the Top 50 Lawyers for Real Estate in New York (2024), the opportunity for mentorship is second to none.

In this role, you will serve as a key team member on a broad range of sophisticated commercial real estate transactions, with a primary emphasis on joint ventures and equity investments.

You will act as a trusted advisor to institutional clients, developers, and real estate funds on structuring, negotiating, and closing complex JV deals, while also gaining exposure to related real estate finance, acquisitions, and development matters.

What you’ll be doing:

• Draft, negotiate, and advise on complex Joint Venture Agreements, equity investment documents, preferred equity structures, pari passu investments, and related governance documents for real estate development and investment platforms
• Assist with real estate acquisitions, dispositions, and financings, including due diligence and documentation
• Support senior Partners on real estate finance transactions, including construction and permanent loans
• Prepare and review ancillary transaction documents, including LLC agreements, contribution agreements, buy-sell provisions, and restructuring documents

• JD (2022 and earlier), admitted to practice in NY with 3+ years of relevant commercial real estate experience at a law firm
• Strong experience drafting and negotiating Joint Venture Agreements and related equity investment documents
• Solid background in commercial real estate transactions, including acquisitions, financings, or leasing
• Excellent drafting, negotiation, and client communication skills
