We are currently looking for an associate-level Attorney to provide legal advice on corporate, securities and M&A matters in our New York, NY or Minneapolis, MN office. In this role, the attorney would be an Associate General Counsel for Investment Banking and Capital Markets.

Responsibilities
  • Working with other firm attorneys to provide legal support to the firm’s investment banking and capital markets businesses
  • Drafting, reviewing and negotiating engagement letters, non-disclosure agreements and transaction documents
  • Participating in firm committees, such as commitment committee, M&A committee and opinion committee
  • Monitoring relevant regulatory and legislative changes and requirements
  • Working with internal clients on special projects as requested
  • Managing outside counsel and outside legal expenses
  • Assisting with third-party matters and ancillary litigation matters
Qualifications
  • Candidates must be self‑motivated, detail‑oriented problem‑solvers with high work standards, excellent organizational, interpersonal, and oral and written communication skills; and a high-level of discretion, maturity and ethical integrity.
  • Candidates should have relevant experience working on both securities and M&A transactions.
  • Candidates must be able to work well both with a team and independently under limited supervision, and must be able to prioritize, meet deadlines and be flexible to adapt to changing organizational needs.
  • Candidates must be willing to work overtime as workload requires.
  • Large law firm or investment bank experience strongly preferred.
  • Two to four years of experience is generally preferred.
  • Must be licensed in New York or Minnesota, as applicable.
Compensation and Benefits

The anticipated starting salary range for individuals expressing interest in this position is $175,000 - $200,000 per year. Placement within this range is dependent upon level of experience, location and other factors. This position is eligible for annual incentive compensation which will be a part of the total compensation. Total compensation for this position will be competitive with the market.
