AGC – Corporate & Securities (Arizona)

If you're a Corporate & Securities Attorney with 5+ years of experience and are looking for the next step in your legal career, we have a great opportunity to join a well-established legal department of a large public company. Latitude’s client is seeking a corporate attorney to lead general corporate governance and securities matters, assist with Board of Directors and committee meeting materials and minutes, draft and review resolutions and other corporate documents, ensuring conformity with legal and governance standards, and handle subsidiary management and SEC compliance, among other general corporate matters. This is a permanent role onsite in Scottsdale, AZ.

Basic Requirements For The AGC – Corporate & Securities

• 5+ years of experience with securities law and public company compliance matters, including SEC and stock exchange filings, investor communications, Regulation FD, and annual shareholder meetings
• Lead legal support for M&A, joint ventures, and strategic transactions
• Support corporate governance and corporate secretary functions, including preparing board and committee materials, maintaining governance policies, advising on subsidiary governance, and supporting global entity management
• Partner with the GC and executive team on material legal and risk management matters, oversee outside counsel budgets, and develop processes to improve compliance and efficiency
• Proven leadership capabilities and outstanding communication skills
• Experience in a manufacturing industry and exposure to global trade matters preferred
• Excellent academic credentials
• Licensed to practice law and in good standing
• Outstanding references required

• Type of role: Counsel; permanent hire
• Schedule: Full-time
• Location: Onsite (Scottsdale, AZ); periodic travel may be required

Compensation

Pay: The salary range for this role is $185,000 - $205,000. This position is also eligible for bonuses and equity compensation. Pay is based on multiple factors including but not limited to work experience, qualifications, credentials, and location.
