RAND Corporation’s Office of the General Counsel is seeking an Assistant General Counsel focused on AI, emerging technologies, and strategic agreements to join the Legal Strategy & Advancement Team. This role reports to the Vice President, General Counsel, and Corporate Secretary, with hybrid work options in Santa Monica, CA, and Arlington, VA.

Qualifications

• At least six (6) years of experience as a practicing attorney with experience in technology transactions, IP, or related areas.
• Detail-oriented, works well under pressure, and aligned with RAND’s Mission.
• Proven problem-solver with ownership of responsibilities.
• Ability to exercise sound judgment in ambiguous situations.
• Collaborative and able to build consensus across diverse groups.
• Willingness to take on increasing responsibility and handle novel issues.
• Ability to travel occasionally to RAND offices in the U.S.

Responsibilities

• Advise on technology transactions and emerging technology matters, including AI and related issues.
• Draft, negotiate, and manage a wide range of commercial and IP agreements and licenses.
• Advise on IP strategy and protection of RAND’s IP assets in agreements.
• Engage with sponsors and leadership to advocate for RAND’s interests.
• Collaborate to establish agile contract review and negotiation processes.
• Identify risks and design solutions with stakeholders.
• Manage outside counsel as required.
• Advise staff on compliance with applicable laws and regulations.
• Handle special projects requested by the General Counsel.
• Provide guidance on charitable gifts, export controls, and government contracting matters.
