Job summary

IntegriChain Incorporated seeks an Assistant General Counsel to support commercial, product, and regulatory needs. You will collaborate with Sales, Product, Finance, and other teams to provide practical, business-oriented legal advice and help manage privacy, data security, and governance initiatives. Reports to SVP, Legal and requires a J.D.

and U.S. bar admission. The role emphasizes drafting and negotiating commercial agreements, supporting cross-functional teams, and handling disputes,

Qualifications

• J.D. degree from an accredited law school.
• Admitted to practice in at least one U.S. jurisdiction.
• Minimum of 2 years relevant legal experience (law firm and/or in-house).
• Experience drafting and negotiating commercial agreements.
• Functional knowledge of HIPAA, data privacy generally, and healthcare regulatory frameworks.

Responsibilities

• Draft, review, and negotiate commercial agreements with customers, vendors, and partners (NDAs, SaaS agreements, MSAs, SOWs, DPAs).
• Advise internal stakeholders on legal and compliance considerations for business operations.
• Support privacy, data security, and information governance initiatives, including incident response.
• Partner with product and engineering on legal issues related to data use, analytics, AI, and platform functionality.
• Assist with corporate governance and internal policies.
• Support dispute resolution, audits, and investigations.

The Role

IntegriChain is seeking an Assistant General Counsel to support the company’s growing commercial, product, and regulatory needs. This role will work closely with our Sales, Product, Finance, and other teams to provide practical, business-oriented legal advice across a range of issues.

Reports to SVP, Legal.

Key Responsibilities

• Draft, review, and negotiate commercial agreements with customers, vendors, and partners, including NDAs, SaaS agreements, MSAs, SOWs, and DPAs

• J.D. from an accredited law school
• Admitted to practice in at least one U.S. jurisdiction

• Experience drafting and negotiating commercial agreements
• Functional knowledge of HIPAA, data privacy generally, and healthcare regulatory frameworks
• Experience in Intellectual Property (IP) Management a plus
• Strong communication skills
• Ability to work independently while collaborating cross-functionally
