A leading technology firm in Singapore is seeking a highly motivated corporate paralegal to support subsidiary governance and legal programs. The ideal candidate has over five years of experience, strong legal knowledge, and excellent language skills. This position requires attention to detail and the ability to work collaboratively across teams. Flexibility to adjust work hours for international time zones is also a plus.

Qualifications

  • Legal studies (diploma or paralegal certificate) completed.
  • Five plus years of significant experience as an in‑house or law firm paralegal.
  • Strong understanding of and experience in working at a US MNC.

Job description
Position Summary

We are looking for a highly motivated corporate paralegal based in Singapore who will play a key role in supporting -

  1. Lam's global subsidiary management and governance. This will involve taking functional direction from the US Corporate Legal attorney, partnering with the US based corporate paralegal and working closely with the Regional Counsels based in Asia (CN, IN, JP, KR, MY, SG, TW) and Europe; and
  2. Legal programs managed by Lam’s Legal Enterprise Management (“LEM”) team, such as ethics & compliance programs, legal operations related programs. This will involve taking functional guidance from the LEM Sr Director and her team.
Job Duties and Responsibilities
Global Subsidiary management and governance
  • Support Lam subsidiary boards of directors with resolutions, agendas and meeting documents.
  • Support annual/extraordinary general meetings of shareholders for subsidiary boards.
  • Support the maintenance of corporate records including articles of incorporation, bylaws, minutes, charters, and other corporate documents and ensure compliance with local regulations
  • Manage and assist executives with director and officer disclosures.
  • Co-Administer and co-maintain the company’s entity management platform and internal SharePoint sites.
  • Instruct and manage external counsel on global subsidiary governance matters.
  • Coordinate with regional management teams to ensure timely filings.
  • Collaborate with internal stakeholders across various cross‑functional teams for projects including mergers, acquisitions, dividends.
Legal Enterprise Management ("LEM")
  • Support global or regional roll‑out and training for ethics & compliance or legal programs, e.g. localization of policies, procedures and training (online and in‑person), "dawn raid" or unannounced visitor & inspection, due diligence checks on external business partners, etc.
  • Use different ethics & compliance or legal tools to prepare reports and dashboards for different stakeholders.
Job Requirements:
  • Legal studies (diploma or paralegal certificate) completed.
  • Five plus years of significant experience as an in‑house or law firm paralegal tasked with subsidiary corporate governance activities and legal department support.
  • Strong understanding of and experience in working at a US MNC.
  • Good judgment, excellent attention to detail and high standards for work product, and ability to maintain discretion and confidentiality.
  • Excellent oral and written English and Mandarin language skills, Japanese or Korean a plus to effectively communicate with our diverse client base and stakeholders.
  • Ability to work independently with limited supervision and to collaborate successfully with other business groups.
  • Willingness and desire to learn, and demonstrated ability to take initiative.
  • Ability to prioritize competing demands, meet deadlines, and work proactively and efficiently.
Additional Experience and Flexibility
  • Experience working with Computershare GEMS, SharePoint and Microsoft 365.
  • Must be able to work well with others, a sense of humor is a plus.
  • Limited travel required.
Flexibility and Time Zone
  • Flexibility to adjust work hours to accommodate international subsidiary time zones when needed.
  • A plus to be familiar with other compliance software and learning management systems.
