Overview
Seeking a detail driven, execution focused Senior Manager to oversee fund and corporate structures, manage governance workflows, and ensure delivery of high quality fiduciary services. Ideal for candidates with strong documentation, governance, and multi jurisdictional experience who take ownership of complex processes.
Key Responsibilities
Governance and Board Support
- Prepare, review, and manage board packs, resolutions, minutes, and statutory documentation
- Coordinate and support board meetings, including agendas, documentation collation, and follow ups
- Ensure decisions and governance processes meet regulatory standards across Cayman, BVI, and other offshore jurisdictions
Entity Management and Administration
- Oversee lifecycle management of entities including incorporations, director changes, share issuances, liquidations, and restructurings
- Maintain statutory registers and ensure timely regulatory filings
- Liaise with administrators, investment managers, legal counsel, auditors, and counterparties
Documentation Review and Quality Control
- Review and interpret legal and financial documents such as loan agreements, subscription and redemption docs, SPV structures, service agreements, and constitutional documents
- Ensure accuracy and proper execution of documentation
- Identify inconsistencies or risks and elevate as needed
Regulatory and Compliance Oversight
- Ensure compliance with AML/CFT, economic substance, FATCA/CRS, and relevant offshore frameworks
- Coordinate regulatory filings, audits, declarations, and certifications
- Maintain records, disclosures, and conflict management protocols
Client and Stakeholder Management
- Act as a key client contact for governance, documentation, and jurisdictional processes
- Build trusted relationships with internal teams and external service providers
- Handle client queries with ownership and strong problem solving
Process Improvement and Team Leadership
- Review and enhance internal workflows for better accuracy and efficiency
- Mentor junior colleagues in governance, documentation, and communication
- Support quality assurance, risk control, and service delivery initiatives
Requirements
Experience
6–10 years from:
- Transaction banking (loan documentation, facility management, corporate banking operations)
- Paralegal roles (funds, banking, corporate)
- Corporate secretarial roles handling fund or SPV structures
- Fund administration or investor services (documentation heavy, client facing)
- Exposure to Cayman/BVI or offshore structures is beneficial

Education / Qualifications

- ICSA/CGI, STEP, or governance related qualifications are advantageous
