The Manager of Governance plays a critical role in upholding the Institute’s governance standards. The role is responsible for managing a broad spectrum of governance activities including board governance, subsidiary governance and member governance. Key responsibilities include providing secretariat support for Council, Nominations and other governance committees, overseeing Council elections, the AGM and Committee nominations; ensuring subsidiaries operate in compliance with the approved governance frameworks and managing the Investigation and Disciplinary Process (ICDC) for members.
Key Responsibilities
Council and Committee Support
- Provide secretariat support for Council and governance committees, including pre-meeting logistics and minute preparation.
- Oversee and manage the nomination process for ISCA Committees and Council election.
- Assist with the review of policies and rules relating to governance, including Constitution, Governance Manual, Council Proceedings Rules.
- Plan and execute Council, Council alumni and committee members engagement and appreciation events.
Subsidiary Governance
- Ensure that the Institute’s subsidiaries adhere to the approved governance frameworks.
- Periodically review and update the frameworks as necessary.
Member Governance and Compliance
- Manage the Investigation and Disciplinary Process (ICDC), ensuring adherence to governance standards.
- Liaise with legal advisors, ICDC panel members, and other stakeholders to manage disciplinary cases.
- Ensure all disciplinary cases are promptly followed up.
Annual General Meeting (AGM)
- Organise and coordinate all aspects of the AGM, including logistics, vendor management, and communication with Council members.
- Ensure accurate documentation and reporting for the AGM, including minutes and post-AGM submissions.
Other Support and Corporate Gifts
- Provide other ad‑hoc support for various governance activities and corporate gifts.
Requirements
- A degree, preferably in Accountancy, Business, Legal or related fields. Chartered Accountants of Singapore or those with legal training will have an edge.
- At least 2 years of managerial experience, experience in a professional services firm will be an advantage.
- Strong ability to analyse data and generate insights.
- Excellent writing skills for drafting emails, letters, meeting minutes, and reports.
- Exceptional organisational skills to manage multiple events, meetings, and compliance activities simultaneously.
- Strong communication skills to liaise with Council members, legal advisors, vendors, and other stakeholders.
- Meticulous attention to detail to ensure accuracy in documentation, reporting, and compliance monitoring.
- Maintain a positive working attitude to foster a collaborative and productive work environment, and be open to changes and new challenges.
