Legal Counsel
- Supporting various functions on legal matters, including new business initiatives
- Reviewing/ Drafting commercial agreements, letters, terms and conditions, undertakings and indemnities as well as forms in relation to a wide range of products and services, ensuring adequate protections and compliance with the company’s policies.
- Interpreting statutes and recommending legal solutions.
- Obtaining fee proposals for engagement of external solicitors and liaising with external solicitors on various legal, corporate and/or litigation matters.
- Co-ordinating and supporting ad-hoc projects in legal and regulatory aspects
- Supporting credit projects, initiatives and other cross-regional team projects.
- Servicing clients on margin financing, (pre-) IPO financing, privatisation or General Offer financing, leveraged finance (financial sponsors), structured acquisition finance, syndicated structured loans, structurally subordinated credits, fund finance/capital call facilities, trade financing, mortgage financing and other bespoke specialised financing for UHNW individuals or business founders against private wealth assets.
- Obtaining fee proposals of external counsels for lenders’ counsel engagement, instructing external counsels (as lender’s counsel) on various financing transactions covering loan structuring matters, intercreditor issues, and/or cross-border elements and security perfection.
- Reviewing financing and security documentation drafted by external counsel
- Preparing in-house financing and security documentation for margin finance (internal standard forms will be used) and security perfection.
- Covering miscellaneous credit processes like preparation of loan disbursements and discharge of security upon full repayments of loans.
- Working closely with lending principals & coverage teams.
- Providing legal advice, dispensing appropriate structuring (legal) mitigations for transactions.
- Owner of the Company’s standard form margin financing template documentation across SG and HK. Continuous review and update of these standard form template agreements, ensuring they are fit for purpose
