Position: In‑house Legal Associate
We are seeking a Singapore‑ or Common‑Law‑trained Legal Associate (3–8 years) to join our in‑house legal and compliance team. This role will be pivotal in advising on legal, regulatory, and structuring matters relating to private wealth, family offices, and investment activities.
Key Responsibilities
- Legal & Advisory
- Provide legal advice on family office establishment, structuring, and ongoing compliance, including MAS submissions and follow‑ups.
- Advise on trust, succession, and asset protection structures, and coordinate with external legal and tax advisors.
- Draft, review, and negotiate a wide range of legal documents, including fund management agreements, investment advisory contracts, trust deeds, and shareholder agreements.
- Support UHNW clients on private wealth, tax, and inheritance planning in collaboration with cross‑border advisors.
- Conduct legal due diligence and deal structuring for direct and fund investments (where applicable).
- Regulatory & Compliance
- Liaise with MAS on client‑related and firm‑related compliance matters, including CMS licensing, reporting, and annual filings.
- Oversee risk, compliance, and KYC/AML processes for client onboarding and ongoing monitoring (e.g., Source of Wealth / Source of Funds reviews).
- Maintain internal compliance policies and ensure the firm’s activities align with regulatory requirements.
Requirements
- Bachelor of Laws (LL.B.) from a recognized university.
- 3–8 years of post‑qualification experience, preferably in private wealth, trust, or corporate law.
- Singapore‑qualified or trained in another Common Law jurisdiction. Admission to practice in a Common Law jurisdiction or PRC will be advantageous.
- Strong understanding of trust law, corporate law, and regulatory frameworks relevant to family offices and fund management.
- Excellent written and verbal communication skills; able to translate complex legal concepts into practical business language.
- Meticulous, self‑driven, and able to act independently with sound commercial judgment.
- Prior experience working with UHNW clients or financial institutions will be an advantage.
- Bilingual proficiency in English and Mandarin is preferred for effective communication with Mandarin‑speaking clients.
