Responsibilities

• Review and help prepare a full set of documentation for the set-up and launch of new crypto fund offerings.
• Draft and/or review documentation relating to a variety of fund structures and fund contracts, including PPM, subscription agreements, side letters, term sheets, management, investment management, distribution, administration and depositary agreements.
• Research legal and regulatory considerations relevant to specific clients, products and jurisdictions, and have strong awareness of market standards for fund terms.
• Oversee marketing registrations in jurisdictions globally.
• Lead the design, formation and negotiation of customized separate accounts for leading international, institutional investors.
• Research and develop customized crypto fund structures.
• Review applications and liaise with regulatory authorities on licensing and compliance matters relating to fund manager.
• Overview of corporate secretarial matters for several funds.

Requirements

• Qualified lawyer with relevant experience working within an Asset Management/Investment Funds team at a law firm, or inhouse at Management Company, Fund Administrator or Financial Services business.
• Excellent technical knowledge of the relevant legal and regulatory landscape including fund related regulatory requirements.
• Experience in general corporate and commercial practice is a must, with exposure to crypto and/or capital markets being an added advantage.
• Responsible and strong drive to meet tight timelines.
