A leading corporate services firm in Singapore seeks a Corporate Secretary with 3-5 years of experience in corporate secretarial services. The role involves assisting clients, drafting resolutions, and liaising with statutory bodies. Proficiency in both English and Mandarin, as well as familiarity with the Singapore Companies Act and ACRA BizFile+ platform, are essential. Strong communication skills and attention to detail are required.
Assist in providing full spectrum of corporate secretarial services to the firm’s clients, which includes public listed companies, public and private limited companies.
Assist in drafting and updating of corporate secretarial records.
Draft and review directors’ and shareholders’ resolutions, relevant statutory forms, and supporting documents for corporate transactions (e.g., incorporation, restructuring, share allotments/transfers, strike‑offs).
Liaise and coordinate with statutory bodies (such as ACRA), banks, auditors, and external business partners as needed.
Review and provide advice on compliance requirements, corporate governance practices, and corporate secretarial matters in accordance with the Singapore Companies Act and ACRA guidelines.
Effectively communicate with local and Chinese clients in both English and Mandarin.
1) At least 3-5 years of corporate secretarial experience in Singapore.
2) Familiar with the Singapore Companies Act and relevant regulations, capable of independently completing declaration work.
3) Proficient in using the ACRA BizFile+ platform.
4) Excellent English and Mandarin Chinese communication skills.
5) Preference for candidates holding or pursuing professional qualifications from CSIS (Chartered Secretaries Institute of Singapore).
6) Meticulous, reliable, with good time management skills and service awareness.
