Job Description
- Maintain and update statutory registers and corporate records in compliance with the Companies Act and regulatory requirements.
- Ensure timely and accurate filing of statutory documents with the Accounting and Corporate Regulatory Authority (ACRA).
- Prepare and coordinate documentation for Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), board meetings, and written resolutions.
- Handle end-to-end company lifecycle processes, including incorporation, changes to directors or shareholding, liquidation, and striking-off.
- Assist in corporate transactions such as mergers, acquisitions, and restructurings, ensuring full compliance with legal and regulatory frameworks.
- Monitor changes in legislation and regulatory requirements, and provide timely updates and guidance to clients or internal teams.
- Liaise professionally with regulatory authorities, directors, shareholders, auditors, tax agents, and legal counsel.
- Conduct client onboarding, including KYC/CDD checks, and ensure ongoing compliance with AML and due diligence requirements.
- Perform regular reviews of client compliance records and update KYC documentation as needed.
- Support internal audits, risk assessments, and regulatory inspections where applicable.
- Draft, review, and manage corporate governance documentation and internal policies.
- Maintain an organized and secure document management system for corporate records.
- Follow up on client deliverables and ensure commitments are fulfilled accurately and promptly.
Requirement
- Bachelor’s degree in Legal Studies, Business Administration, or a related field.
