About the Role:
Our client, a reputable boutique law firm serving high-net-worth and private clients, is seeking an experienced Corporate Legal Associate to provide strategic advisory and compliance support. The role involves advising on corporate governance, statutory and regulatory matters, and managing client relationships with professionalism and discretion. You will work closely with entrepreneurs, family offices, and privately held companies to deliver high-quality, tailored legal and corporate solutions.
Key Responsibilities:
- Act as the primary legal advisor to private clients and their corporate entities on governance, compliance, and transactional matters.
- Manage corporate secretarial and compliance functions, including board/shareholder resolutions, meeting minutes, ACRA filings, and statutory registers.
- Advise clients on the formation, restructuring, and management of private entities, including share transfers, issuance/redemption of preference shares.
- Draft, review, and negotiate a wide range of corporate documents, including shareholder agreements, joint venture agreements, and constitutions.
- Advise on mergers, acquisitions, joint ventures, and strategic partnerships involving privately held or family-owned businesses.
- Facilitate client onboarding, due diligence, and corporate documentation (e.g., Form 45, share certificates, and Registrable Controllers).
- Coordinate and organize board and shareholder meetings, ensuring timely preparation of notices, agendas, and minutes.
- Support complex client matters with sound judgment, escalating issues as appropriate.
Requirements:
- Bachelor’s degree in Law (LLB) or equivalent; admission to the Singapore Bar preferred.
- 3–5 years PQE with solid experience in corporate advisory, governance, and compliance matters.
- Fluent in English and Mandarin, able to liaise effectively with Mandarin-speaking stakeholders.
- Prior exposure to private client work, family offices, or closely held corporations will be an advantage.
- Strong understanding of the Singapore Companies Act 1967, corporate governance frameworks, and ACRA filing requirements.
- Excellent drafting, analytical, and communication skills.
- Demonstrated ability to manage multiple mandates independently while maintaining a high standard of accuracy and confidentiality.
- Proficient in Microsoft Office and corporate/legal management systems.
