A corporate governance consultancy in Singapore is seeking an experienced professional to manage Board operations, ensure compliance with corporate regulations, and assist in IPO preparations. The ideal candidate will have a background in corporate governance and significant experience in relevant roles, with strong knowledge of Singapore compliance frameworks.
Manage the full spectrum of Board and Committee operations, including scheduling meetings, preparing papers and minutes, and tracking action items.
Ensure all statutory and corporate filings, corporate records, and group structure documents are properly maintained and compliant with Singapore and international regulations.
Support the company’s IPO readiness activities, coordinating due diligence, disclosure preparation, and engagement with legal, audit, and underwriting advisers.
Advise senior management and the Board on corporate governance, disclosure obligations, and listing compliance.
Draft, review, and manage board resolutions, corporate announcements, and investor-related documentation.
Serve as a liaison between the Board, management, shareholders, and regulatory authorities.
Ad hoc duties as assigned.
Bachelor of Law, Corporate Governance or Professional Certificate in ICSA, CSIS or equivalent
Minimum 5 - 8 years of relevant experience in corporate secretariat, governance, or IPO-preparation roles
Strong understanding of Singapore corporate compliance frameworks and familiarity with U.S. SEC requirements will be advantageous
