Karo Healthcare AB is seeking a Head of Legal for its Stockholm office to shape the legal strategy for a growing international healthcare business. You will work directly with senior leaders on M&A, commercial growth and strategic projects, combining ownership with hands-on execution.

The role requires a law degree with 10–15 years of senior in-house or equivalent experience, strong commercial law and negotiation skills, and the ability to navigate cross-border regulatory environments.

Responsabilidades

• Be a trusted legal partner to senior management across the business, providing practical advice on contracts, competition, marketing, consumer health and regulatory matters.
• Lead and manage the legal workstream for M&A, licensing and other strategic transactions, including due diligence and post‑closing integration.
• Draft, review and negotiate commercial agreements (distribution, manufacturing, supply, licensing, confidentiality).
• Develop and maintain Karo’s legal/compliance framework, provide training, and manage regulatory correspondence.

What you’ll be doing

• Be a trusted legal partner to senior management and teams across the business, providing practical advice on commercial and business law, including contracts, competition, marketing, consumer health and regulatory matters.

• Draft, review and negotiate commercial agreements, including distribution, manufacturing/CMO, supply, consultancy, logistics/3PL, tender, licensing, settlement and confidentiality agreements.

• Lead the legal workstream for M&A, licensing and other strategic transactions, covering due diligence, transaction documentation, negotiations, signing, closing and post-closing integration. Coordinate external advisers and work closely with internal stakeholders and counterparties.

• Own and develop Karo’s legal and compliance framework, policies and processes. Provide legal training, support responsible business practices and manage correspondence with authorities when required.

• Support group corporate governance, including board and shareholder documentation, restructurings, new legal entity establishment and the maintenance of corporate records.

• Oversee data privacy and GDPR compliance, including related policies and records.

• Manage Karo’s intellectual property portfolio, including trademarks, patents, designs, licensing arrangements and IP-related disputes. Support freedom‑to‑operate assessments for new product development.

• Manage disputes and litigation, including strategy, evidence, external counsel and settlement negotiations. Identify and communicate material legal and compliance risks to management.

• Manage external legal counsel across relevant European and international jurisdictions, balancing quality and cost effectiveness. Oversee legal spend and invoices, contract archives and access to appropriate external expertise.

• Law degree and 10–15 years of relevant legal experience in a senior in‑house role, leading law firm or a combination of both.

• Strong expertise in commercial law, contract drafting and negotiation, with the ability to turn complex issues into clear business advice.
• Solid M&A experience, including due diligence, transaction documentation, negotiations and post‑closing matters.

• Practical experience in compliance, corporate governance and risk management.

• Experience working across European markets and navigating different legal and regulatory environments.

• Previous experience in the healthcare industry is highly favourable, particularly in consumer health, pharmaceuticals or another regulated international business. FMCG experience is also a strong advantage.

• Commercial, pragmatic and solution-oriented, with sound judgement on when to decide and when to elevate.

• Confident managing complex matters independently and building trusted relationships with senior stakeholders.

• Experienced in managing external legal counsel and balancing quality with cost effectiveness.

• Collaborative and hands‑on, comfortable contributing in a fast-moving, entrepreneurial environment.

• Excellent written and verbal English; additional European languages are an advantage.
