Overview

We are seeking a Sr Counsel to join the Subsidiary Secretariat & Governance Legal Practice, within the Law Organization's Corporate Secretariat function, particularly with respect to providing corporate secretarial support of subsidiary and affiliated entities.

Subsidiary Secretariat & Governance Legal Practice serve as the corporate secretary for wholly‑owned, in‑Kingdom subsidiaries (other attorneys will provide legal and commercial support to the same), providing guidance and advice on corporate governance matters, and handle a broad spectrum of related matters that confront a global energy company with hundreds of subsidiaries, affiliates, joint ventures, etc.

Saudi Aramco's Law Organization is growing in response to a broad corporate initiative that involves the continued growth of its exploration, production, refining and marketing, along with expansion into petrochemicals, renewables, power and other sectors of the energy business. Key Responsibilities
  • Serving as the ultimi corporate secretary for one or more wholly‑owned, in‑Kingdom subsidiaries.
  • Advising boards of directors and related committees, as well as senior management.
  • Organizing and managing board meetings, and advising as to board authority and corporate governance matters.
  • Preparing proxies, powers of attorney, and other governance‑related delegations.
  • Stewarding the appointment of board directors, shareholder representatives and other roles.
  • Onboarding training and best practices for new directors.
  • Advising as to shareholder issues and managing the interface between the Related Entity, the parent, and other affiliates.
  • Overseeing, utilizing and updating the data set in an entity management system.
  • Liaising with other attorneys and legal professionals around the globe who provide legal and commercial support for various entities within the Saudi Aramco group.
Minimum Requirements
  • Bachelor of Laws and/or Master of Law. Juris Doctorate degree or equivalent preferred.
  • Current admission to general practice before the highest court of the state or country of which you are a citizen or resident.
  • 7+ years of experience with a strong law firm, large corporation, or other sophisticated business organization.
  • General corporate experience providing legal advice and support to senior management and/or a board of directors.
  • Attention to detail, excellent teamwork, negotiation and communication skills.
  • Experience leading, teaching, and mentoring.
  • Energy industry (oil and gas, petrochemical, power or oil field services), public company and international experience are a plus.
  • Special focus will be given to candidates with experience serving as a corporate secretary.
