About The Role And The Team

This role supports the Head of Corporate Legal and Assistant Company Secretary in overseeing corporate legal compliance for over 300 SITA Group entities worldwide. Reporting directly to the Head of Corporate Legal and Assistant Company Secretary, the role sits within the Global Corporate Legal team, being part of the SITA Global Legal function. It offers a unique opportunity to collaborate with diverse internal teams and key external partners, contributing to the ongoing excellence of SITA’s entity management, corporate governance, and compliance practices.

What You Will Do

As Legal Manager youwill have a diverse role with a global remit and will be responsible for:

Corporate Housekeeping

  • Entity Management
  • Maintaining an up-to-date corporate structure (e.g. subsidiaries, branches)
  • Ensuring appropriate management structure of entities
  • Management of signatory rights, appointments and representation
  • Statutory Filings and Registrations
  • Timely filing of changes in the Chamber of Commerce or relevant authorities
  • Submitting annual filings, e.g. financial statements, UBO (Ultimate Beneficial Owner) data
  • Compliance with applicable local corporate law
  • Corporate Records and Documentation
  • Keeping up-to-date statutory books: shareholder register, director register
  • Storing articles of association, bylaws, and amendments
  • Managing powers of attorney and signature authorities
  • Compliance Monitoring
  • Monitoring legal deadlines, including annual general meetings (AGMs), licence expirations, annual returns etc.
  • Ensuring corporate documents comply with internal governance and external regulations
  • Supporting audits and legal reviews
  • Intercompany and Group Governance
  • Coordinating intra-group approvals and reporting lines
  • Maintaining consistent governance standards across subsidiaries
  • Document Management Systems, Processes and Transformation
  • Using legal entity management tools to track filings and deadlines
  • Ensuring version control and secure document storage
  • You will be a driving engine to develop, implement, update and maintain guidelines, procedures and best practices within Corporate Legal team and be an active participant in the legal transformation efforts


Board Support

  • Board secretarial assistance (Meeting management, Record keeping, Compliance, Communication)


Corporate Officer Appointment, Empowerment, Training and Support

  • Ensure that all SITA’s subsidiaries, affiliates and branches across the globe have the requisite directors, officers and legal representatives (including ensuring compliance with requirements on qualifications, residence, nationality) and delegations of authority
  • Provide tailored training and guidance to corporate officers, ensuring the necessary expertise and a consistent standard of professionalism across all appointments.
  • Tracking changes to directors, shareholders, and registered offices


Cross Functional Engagements

  • Work closely with other functions — including Tax, Finance, HR, Bid, Regulatory, Business Development, and Sales — to support internal projects and business initiatives in alignment with corporate objectives
  • Coordinate and maintain effective relationships with external legal advisors to support the company’s legal and compliance needs, ensuring alignment with internal priorities, risk appetite, and budgetary considerations


Qualifications

ABOUT YOUR SKILLS

  • Master of Laws degree.
  • Minimum 5 years of solid and relevant experience within a Legal department of an international company or international/regional law firm.
  • Fluency in English and French (C1 level) and strong legal drafting skills. Knowledge of additional languages (German, Italian or Arabic) is a very strong advantage.
  • Tech savvy with demonstrated expertise in MS 360 suite and entity management tools and a proactive approach to digitalisation and transformation
  • Strong team-player mentality with can-do attitude and emphasised ability to collaborate effectively with internal and external stakeholders
  • Capable of managing various administrative procedures and tasks while adapting to diverse projects, mastering effective prioritising and work under pressure in the context of tight deadlines and unpredictability in a dynamic, international business environment.
  • Negotiation skills.
