Our client, a global Pharmaceutical company in Zurich, is looking for a Legal Counsel to support their GMSGQ team with a focus on Divestments and Contract Manufacturing Business (CMB).

General Information:

  • Location: Zurich (hybrid, 5 days/month in the office)
  • Duration: 8 months (maternity leave replacement)

Key Objectives of the Lead Counsel - Divestments & CMB:

  • Provide legal services to global CMB & Quality divestiture teams
  • Lead legal aspects of GMS Divestment & CMB, including M&A transactions and complex contract advice
  • Be SME for global product divestments related to GMSGQ topics
  • Support development of standards and templates for CMB & Divestments
  • Contribute to global manufacturing and quality lawyer initiatives

A Typical Day Will Include:

  • Providing legal advice on CMB and Divestments
  • Assisting with M&A deal preparation and execution, including structuring, drafting, and negotiating agreements
  • Managing contractual risks and disputes
  • Collaborating with Tax, Regulatory, IP, IT, and other legal teams
  • Coordinating with external law firms

  • Make transaction decisions and develop strategies
  • Balance business opportunities with legal risks

  • Interface with various groups and external counsel
  • Contribute to global legal networks

Complexity:

  • Build and leverage legal relationships
  • Promote collaboration and open exchange of ideas

Qualifications:

  • Qualified lawyer in UK or Europe, with 10+ years post-qualification
  • At least 5 years in the pharmaceutical industry
  • Strong knowledge of Civil and Contract Law
  • Experience in M&A and pharma agreements
  • Excellent communication, research, and organizational skills
  • Team player with influencing skills
  • Fluent in English; additional European languages are a plus
  • Travel up to 20% may be required
