About the Job

The Legal Counsel safeguards Vestergaard’s interests and enables business growth by providing strategic legal support and pragmatic solutions. The position ensures that all contractual engagements are sound, compliant, and aligned with the company’s commercial objectives. Through expert drafting, negotiation, and risk management, the role fosters trust with internal stakeholders and external partners, while continuously improving legal processes, tools, and compliance frameworks across the organization.

This role is based in Lausanne, reports directly to the General Counsel, and is a 50% part-time, minimum eight-month maternity-replacement contract, starting February 2026.

Main Responsibilities

• Draft, review, and negotiate commercial contracts (e.g., NDAs, supply, services, consulting, and distribution agreements).
• Identify and assess legal and financial risks arising from contractual engagements and propose pragmatic solutions to mitigate them.
• Ensure compliance of contracts with applicable laws and regulations.
• Advise internal stakeholders (sales, R&D, marketing, etc.) on contractual structures, obligations and risk exposure as well as intellectual property matters.
• Support the development and continuous improvement of legal templates, internal policies, and processes.
• Administer and oversee the company’s contractual and signing platform, ensuring proper use and compliance with signing procedures.
• Train all new joiners on the use of the contract management tool (CLM) and maintain related user guidelines.
• Collaborate with external legal advisors as needed.
• Ensure compliance with applicable laws and regulations, particularly in Switzerland and in the company’s main operating markets.
• Contribute to projects with legal implications (e.g., ESG, data protection, HR, or intellectual property).

Qualifications & Experience

• Master’s degree in Swiss Law (Master en droit suisse).
• 1–2 years of relevant experience in contract law, ideally in an international context (law firm or in‑house legal department).
• Excellent command of English (C2 / Proficiency level required).
• French is a strong asset; other languages are a plus.
• Solid understanding of contract law principles and strong drafting skills in English.
• Analytical and solution‑oriented mindset with attention to detail.
• Demonstrated ability to manage urgent, unpredictable priorities while meeting tight deadlines; ability to communicate clearly and effectively with non‑legal colleagues.
• Capable of balancing legal rigor with business realities.
• Comfortable training colleagues and promoting adoption of digital tools (DocuSign).
