Qualifications

• 8 years of experience in corporate law, litigation, or special situations within holding groups, investment firms, or financial institutions.
• Proven record in shareholder-related matters and maintaining governance integrity in multi-jurisdictional structures.
• Strong knowledge of corporate, commercial, and procedural law, including practical experience with English law documentation and principles.
• Experience managing complex ownership structures and multi-stakeholder decision-making.

Responsibilities

• Develop and implement legal strategies to protect shareholder and company interests.
• Prepare legal positions, procedural documentation, and evidence for corporate litigation.
• Represent the company in court proceedings and supervise external counsel.
• Navigate complex shareholder networks and ensure consistent governance and control.
• Draft, review and amend shareholder agreements, voting and ownership frameworks.
• Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance.
• Advise senior management and shareholders on corporate governance structure and legal risks.
• Support restructuring and transformation of ownership and holding chains.
