Job summary

AboitizPower is seeking a Senior Associate General Counsel - CorSec to provide legal guidance to the 1AP Group on corporate governance, compliance and regulatory matters, and to support governance and corporate secretarial needs.

The position requires a Philippine-licensed attorney with 5+ years’ experience, leadership ability, and familiarity with PSE/SEC; role is on-site in Makati with energy-sector exposure and probationary employment.

Qualifications

• LL.B. or J.D. required.
• LL.M. or MBA is a plus.
• At least five years as a licensed legal professional with corporate secretarial and compliance experience.
• Energy-related experience preferred.
• Experience with the Philippine Stock Exchange and/or the SEC is an advantage.

Responsibilities

• Ensure business units comply with applicable laws and regulations and support corporate governance practices.
• Provide corporate secretarial assistance for meetings and filings and coordinate with regulators and government agencies.
• Monitor legal developments and engage with regulators on governance matters.
• Mentor paralegals and supervise the legal team; participate in performance management.

As Senior Associate General Counsel - CorSec, you will provides legal advice and guidance to the 1AP Group on various matters, including corporate governance, legal developments, and compliance requirements and contribute directly to transforming energy for a better world. You will work closely with 1AP Group to deliver results, create positive community impact, and develop your skills in a supportive, purpose-driven environment.

In This Role, Your Responsibilities Will Be

• The role ensures that the business units are compliant with relevant laws and regulations, assists in implementing best corporate governance practices, and provides corporate secretarial assistance for meetings and filings.
• The Legal Counsel is responsible for keeping the Group informed of relevant updates in laws and regulations and engaging with regulators and special interest groups on corporate governance matters, coordinating with various stakeholders and government agencies for transactions, and ensuring timely preparation of necessary documents.
• The Legal Counsel is involved in people development, including overseeing paralegals, mentoring the team, and participating in performance management.

What You Will Need

Education & Experience

• Bachelor of Laws (LL.B) or Juris Doctor (J.D.)
• Master of Laws (LL.M.) or Master in Business Administration (MBA) is an advantage
• At least five (5 years) of relevant work experience as a licensed legal professional in a reputable law office and/or in-house counsel role, with significant experience in matters or requirements concerning corporate secretarial and compliance requirements of publicly-listed companies.
• Possession of energy-related or -complementary experience or background is preferred
• Work experience with the Philippine Stock Exchange and/or the Securities and Exchange Commission is an advantage.

Leadership

• Experience in managerial role, with supervision over a team

License Required

• Member in good standing of the Philippine Bar

Certifications

• Updated MCLE and in good standing with the Integrated Bar of the Philippines (IBP)
• LawLab Year 1 or equivalent training with focus on energy-related courses
