Job summary

BDO Unibank, Inc. seeks an experienced banking and finance lawyer to draft, review, and negotiate loan and security documents, ensuring legal soundness and risk mitigation. The role requires strong analytical and research skills and a track record in corporate finance.

The successful candidate will conduct due diligence, render opinions on banking matters, and coordinate with foreign counsels on international finance documents, while handling multiple transactions and working onsite in Ortigas.

Qualifications

• Experience in drafting, reviewing, and negotiating financing and security documents.
• Strong background in banking, finance, corporate, or commercial law.
• Excellent legal research, analytical, and communication skills.
• Ability to manage multiple transactions and provide practical, business-oriented legal advice.
• Amenable to work onsite and be assigned in Ortigas.

Responsibilities

• Documentation and Legal Research for loan and security transactions.
• Draft and review loan and security agreements to avoid infirmities.
• Provide workable recommendations in contract/term negotiations with clients and third parties.
• Render legal opinions on general banking business and related matters.
• Liaise with foreign counsels for advice on Finance Documents involving foreign counterparties.
• Perform other related functions as assigned by Team Head/Dept Head.

Key Requirements

• Documentation and Legal Research
• Prepare, review and/or assist in the negotiation of structures and/or documentation for loan and security transactions (on, among others, project finance, aircraft/vessel finance, equity finance, etc.), and ensure that the interests of the Bank, its subsidiaries, affiliates, directors, officers and employees are protected.
• Draft and review loan and security agreements (such as Omnibus Loan and Security Agreements, Facility Agreements, Syndicated Loan Agreements, Notes Facility Agreements, Underwriting Agreements, Registry and Paying Agency Agreements, Participation Agreements, Inter-Creditor Agreements, Operating and Financial Lease Agreements, etc.) to ensure that legal infirmities are avoided.
• Ensure to avoid/prevent legal infirmities in documentations and provide workable recommendations in case of contract and term negotiations with clients and third parties.
• Legal Consultancy and Opinion
• Conduct legal due diligence to identify, assess and isolate legal risks, and provide workable recommendations (as supported by researched legal opinions) to address such risks.
• Render legal opinions on general banking business, such as general credit business, trade transactions, loan take-out, foreign currency-denominated loans, etc.
• Liaison Services
• Coordinate with foreign counsels for advice on, and documentation of, Finance Documents (loan, pledge, suretyship, etc.) involving foreign counterparties.
• Performs other related functions assigned by the Team Head/Dept. Head from time to time

Qualifications

• Bachelor's Degree in Law (Juris Doctor) and member in good standing of the Philippine Bar.
• Strong background in banking, finance, corporate, or commercial law.
• Experience in drafting, reviewing, and negotiating financing and security documents.
• Excellent legal research, analytical, and communication skills.
• Ability to manage multiple transactions and provide practical, business-oriented legal advice.
