About the Role
We are looking for a highly organized and proactive Governance Officer to support a broad range of corporate governance activities at group level.
Location: Leiden, The Netherlands
This role sits at the heart of the organization, coordinating governance processes and providing ad-hoc operational and administrative support. You will be part of the Legal & Compliance team and report directly to the Chief Legal and Compliance Officer & Company Secretary (CLCO).
Key Responsibilities
- Corporate Governance
- Ensure that all corporate governance-related policies, processes and operational processes at group level are effectively executed and updated, including:
- Recurring filings/uploads
- Management/coordination/monitoring of Powers of Attorney Pharming, including all filings Chamber of Commerce
- Filings of annual reports/403 statements Dutch subsidiaries
- Governance processes for foreign subsidiaries Pharming, including mandatory filings, in consultation with Legal and Finance
- Shareholder meetings: coordinate, manage and monitor all operational aspects/logistics (site, catering, contacts third party provider, point of contact for IR and notary; on-site support; coordinate following up actions, filings etc).
- Coordinate all operational aspects/logistics of off-site ExCo meetings in the Netherlands, supporting the VP Strategy & Operations.
- Ad-hoc Executive Support to CEO when in Leiden, in close collaboration with US PA.
- Ad-hoc Executive Support to ExCo members in Leiden.
- Communication & Coordination: manage corporate secretariat mailbox, emails etc., including preparing responses with relevant stakeholders.
Qualifications
- At least Bachelor’s degree in Executive Office Management, Business Administration or a related field.
- 7+ years of relevant experience in corporate governance or executive support at senior executive level.
- Excellent organizational, interpersonal and multitasking skills. Proven ability to manage a demanding administrative workload.
- Fluent in professional Dutch/English (both oral and written).
Preferred Qualifications
- Experience in a listed or internationally operating company.
- Familiarity with basic Dutch corporate governance requirements for listed companies.
