Job Summary
We are seeking a highly skilled Corporate Finance, Senior Manager for one of the fastest growing manufacturing giant with more than 5000 HCs and a revenue size of < RM 1 billion. The candidate will be involve in conducting feasibility studies, performing valuations, and developing financial models to support mergers, acquisitions, and corporate exercises.
Key Responsibilities
Feasibility Studies & Corporate Proposals
- Conduct feasibility assessments and develop corporate proposals aligned with the company’s strategic objectives.
Valuation & Financial Analysis
- Perform valuations of target companies using appropriate methodologies and prepare detailed financial models and projections, including feasibility studies.
Mergers & Acquisitions (M&A) and Financial Structuring
- Develop M&A structuring models, financial restructuring plans, and comprehensive financial analyses covering:
- Pre- and post-transaction business models
- Cash flows, Profit & Loss statements, and Balance Sheets
- Evaluation of financial impact on group results to support valuation and due diligence
Corporate Exercise Planning
- Design and propose schemes for corporate exercises, negotiate optimal terms and structures in compliance with legal and regulatory requirements, identify potential issues, and provide solutions or recommendations.
Documentation & Board Reporting
- Prepare thorough reports and materials for EXCO or Board presentations. Draft, review, and finalize all relevant documents, including board papers, presentations, legal documents, shareholder announcements, and circulars, ensuring clarity, accuracy, and compliance with regulations.
Regulatory Compliance
- Ensure all corporate finance activities comply with updated requirements from Bursa Malaysia, the Securities Commission, and other statutory authorities.
Stakeholder Coordination & Execution
- Collaborate with internal cross-functional teams and external advisors, including investment bankers, lawyers, company secretaries, auditors, and tax consultants. Oversee corporate exercise activities to ensure completion in accordance with agreed terms and structures.
Requirements
- Bachelor’s Degree in Accountancy or an equivalent professional qualification.
- 8–10 years of relevant professional experience, including at least 5 years in corporate finance within a publicly listed company (PLC) or a Big Four audit firm.
