Position: Legal Manager and Company Secretary

Reporting to: General Counsel and Head of Compliance

Description

We are seeking an experienced and proactive Legal Manager & Company Secretary to oversee and manage all legal and secretarial aspects for our business operations at Mercedes-Benz Malaysia. The ideal candidate will collaborate with various business units and provide strategic legal counsel to ensure smooth and efficient daily operations. The candidate will work across multiple areas of law, manage legal risks and lead legal initiatives in alignment with the company’s strategy.

Roles and Responsibilities

Advising on the following legal areas: customs, tax, contracts, antitrust, consumer protection, data protection, tort, sale of goods, employment, mergers and acquisitions and product liability.

To become the company secretary and carry out all related tasks such as preparation of resolutions, board meeting papers, CTC documents, minutes of meetings and maintaining the registers.

Advising and updating the Board of Directors and Management regarding changes in the local legislation affecting the company.

Draft, review and negotiate commercial agreements, vendor agreements, business partner agreements and other legal documents for the respective business units.

Provide legal opinion and support to all business units in the company for the day-to-day operations.

Advising the business units regarding new products and services launched.

Advice on the interpretation and implementation of the Company’s policies to ensure compliance.

Assess and provide legal advice on company projects to highlight and mitigate any risk to the company.

  • To provide updates and training on new legislation and regulations.
  • Handling, managing and overseeing disputes and legal cases.
  • Communicate and liaise with external counsels.
  • Monitors for changes in relevant laws and regulations.
Qualifications and Experience
  • LLB Degree in Law (L.LB Hons.)
  • Admitted to the High Court of Malaya.
  • Minimum experience of 7 years in practice in litigation and/or corporate advisory.
  • Company secretarial qualifications with MAICSA or the Companies Commission of Malaysia (CCM) would be an added advantage. Candidates who do not possess company secretarial qualifications will be required to successfully complete the CCM Company Secretary License programme.
  • Written and oral communication skills, both in English and Bahasa Malaysia.
  • Meticulous, able to work under pressure and able to multitask in a fast-paced working environment.
  • Independent, strong interpersonal and communication skills.
  • Ability to engage and communicate at all levels in a clear and coherent manner.
