Job description

To assist the Company Secretary to provide the Great Eastern Group of Companies in Malaysia with company secretarial services for full and timely compliance with all statutory, regulatory, corporate and other requirements

  • To attend to the company secretarial matters of the Board, Board Committee and Shareholders within the Great Eastern Group of Companies in Malaysia.
  • To ensure the smooth convening of Board and Board Committees’ Meetings (physical and paper Meetings), General Meeting(s) (Annual General Meeting and/or Extraordinary General Meeting), drafting minutes and disseminate decisions of Shareholders, Directors and Board Committee to the Management and other relevant parties for the smooth running of the Company and follow up actions, where necessary.
  • To assist in the preparation and submission of statutory documents for timely compliance of regulations under the provisions of Suruhanjaya Syarikat Malaysia and Bank Negara Malaysia.
  • To maintain/update the Statutory Registers and Minutes Books as well as safekeep the Statutory Registers and Statutory Documents. To facilitate the execution of documents under the Common Seal of the Company.
  • To manage corporate and Directors’ disclosures and reporting including those to OverseaChinese Banking Corporation Limited and Great Eastern Holdings Limited.
  • To facilitate the mid-year and year-end statutory audit exercise by external auditors, Annual Directors’ Confirmation (on their remuneration and details of OCBC shareholding) and reviewing the Directors’ Report in the Audited Financial Statements.
  • To assist in preparing the Dividend Tax Vouchers after the payment of Interim and/or Final Dividends declared by the Company(ies).
  • To assist on the quarterly Directors’ Fees payment to the Directors on rotational basis.
  • To manage the Annual Budget for Directors’ Office.
  • To assist AVP, VP and Head of Department on other ad-hoc assignments and for smooth delivery of secretarial / corporate services to the Great Eastern Group of Companies in Malaysia.
  • Takes accountability in considering business and regulatory compliance risks and takes appropriate steps to mitigate the risks.
  • Maintains awareness of industry trends on regulatory compliance, emerging threats and technologies in order to understand the risk and better safeguard the company.
  • Highlights any potential concerns /risks and proactively shares best risk management practices
  • Chartered Secretaries (ICSA) or Legal / Business Administration Degree or Professional Accounting Qualifications or STPM with minimum 5-year experience in Company Secretarial Practice.
  • Good communication skills - written and verbal, fluent in English and Bahasa Malaysia and computer literate,
  • Company Secretarial Practice, understanding of statutory and regulatory requirements i.e. Companies Act 2016 and Financial Services Act 2013, understanding and application of Company’s constitution documents, policies and business processes.
  • Meticulous, organisation and planning, communication and good interpersonal skills, customer centric - internal and external, able to work independently, team building, integrity and responsible, proactive and diligent, initiative and time management, cost conscious, keep abreast with regulatory and industry changes for relevant updates, and computer literate and IT savvy.
