Job description

We are seeking a Legal Senior Manager/ Legal Director to lead all legal, governance, and compliance strategies across the Group. As the principal legal advisor to the CEO, Board, and Management, the Legal Senior Manager/ Legal Director ensures that Solarvest’s business decisions, from EPCC projects and M&A activities to clean energy investments, are executed within robust legal and ethical frameworks. This role will also drive Solarvest’s corporate governance agenda, oversee risk management initiatives, and ensure full regulatory compliance in Malaysia and any overseas jurisdictions where Solarvest operates.

1. Strategic Legal Leadership
  • Serve as Legal Advisor to the CEO, Board, and Senior Management.
  • Formulate and execute Solarvest’s Group Legal & Compliance strategy aligned with business expansion and sustainability goals.
  • Establish and lead the Legal Department, defining structure, systems, and policies.
  • Advise on strategic partnerships, joint ventures, and cross-border project structures.
2. Corporate & Commercial Governance
  • Lead all corporate legal matters, including company secretarial oversight, board resolutions, and regulatory filings.
  • Draft, review, and negotiate complex EPCC, O&M, financing, and investment contracts.
  • Oversee project risk management, ensuring contractual protection for Solarvest’s assets and IP.
  • Support business units on bids, proposals, and procurement negotiations.
3. Regulatory, Compliance & ESG Governance
  • Ensure full compliance with the Companies Act, SEDA, Suruhanjaya Tenaga, MACC Act, PDPA, and ESG governance standards.
  • Develop internal compliance and ethics frameworks, including anti‑bribery policies and whistleblowing mechanisms.
  • Represent Solarvest in engagements with regulators, authorities, and external counsel.
4. Litigation, Dispute & Risk Management
  • Oversee dispute resolution, arbitration, and litigation strategies across all projects.
  • Manage external legal counsel relationships, ensuring efficiency and cost control.
  • Provide proactive advice to prevent disputes and strengthen internal governance.
Requirements
  • Bachelor of Laws (LLB) from a recognised institution; Master’s Degree or professional certifications (ICSA, IIA, etc.) are an advantage.
  • Admitted to the Malaysian Bar, with a valid practising certificate or significant in‑house counsel experience.
  • Minimum 12–15 years of progressive legal experience, including 5+ years in senior leadership or C‑Suite advisory capacity.
  • Strong exposure to EPCC contracting, corporate financing, and clean energy regulations.
  • Proven ability to advise Boards and senior management on corporate strategy, risk, and compliance.
  • Excellent stakeholder management, communication, and leadership skills.
  • High integrity, discretion, and commercial acumen.
Preferred Background
  • Experience in energy, renewable, infrastructure, or utilities sectors.
  • Strong understanding of corporate governance in public‑listed or group structures.
  • Exposure to regional legal operations or cross‑border transactions is an advantage.
