Job Title: Legal Manager (Renewable Energy Projects & Land Liaison)

Department: Legal & Corporate Affairs

Reports To: Head of Business Development/Head of Operation / Board of Directors

Location: Main Office (HQ); Possess Vehicle and Willing to Travel

Role Summary: To lead and manage all legal, regulatory, and land-related matters for Large Scale Solar Photovoltaic (LSSPV) projects. The primary objective is to secure project viability by managing land acquisition/leasing processes, drafting and negotiating commercial agreements (PPA, EPCC, JV), and acting as the primary liaison with Malaysian regulatory bodies and state authorities.

Responsibilities
  • Land Acquisition, Leasing & Management
  • Land Due Diligence: Conduct thorough due diligence on potential project sites to verify land titles, zoning (syarat nyata tanah), and identify any encumbrances, caveats, or squatters.
  • Lease & Purchase Structuring: Draft, review, and negotiate Land Lease Agreements (Perjanjian Pajakan Tanah) or Sale & Purchase Agreements (SPA) that comply with the National Land Code 1965.
  • Conversion & Subdivision: Liaise with the Land Office (Pejabat Tanah & Galian) for land conversion applications (e.g., from Agriculture to Industrial) and subdivision if required for the solar plant.
  • Right of Way (ROW): Manage legal negotiations with Project Manager for Right of Way / Wayleave agreements to ensure transmission lines can pass through private or state land to the nearest PMI/PMU (Main Intake Substation).
  • Commercial & Project Legal Documentation
  • Project Contracts: Draft, review, and negotiate high-value project documents including:
  • PPA with Tenaga Nasional Berhad (TNB) or Corporate PPA partners.
  • EPCC Contracts (Engineering, Procurement, Construction, and Commissioning).
  • O&M Agreements (Operation & Maintenance).
  • Partnerships: Draft and finalise Memorandums of Understanding (MOU), Non-Disclosure Agreements (NDA), and Joint Venture (JV) Agreements with local partners, technology providers, and landowners.
  • Financing Support: Review loan facility agreements and security documents to satisfy financier requirements (e.g., assigning land rights or PPA proceeds).
  • Authority Liaison: Act as the focal point of contact for compliance; SEDA (Sustainable Energy Development Authority) for RE-related certifications; TNB (Tenaga Nasional Berhad) for technical connection agreements and commercial approvals; and other relevant authorities (as applicable).
  • Environmental Compliance: Review legal aspects of the Environmental Impact Assessment (EIA) and liaise with the Department of Environment (DOE) to ensure full compliance.
Qualifications

  • Bachelor of Laws (LL.B) from a recognized university.
  • Admitted as an Advocate & Solicitor of the High Court of Malaya (Practising Certificate is an added advantage).
  • Experience
  • Minimum 5-8 years of post-qualification experience (PQE).
  • Mandatory: Proven experience in Real Estate/Conveyancing (dealing with land codes, leases, and land offices) OR Construction/Infrastructure projects.
  • Preferred: Prior experience in the Renewable Energy sector (Solar/LSS), Independent Power Producers (IPP), or working with property developers.
  • Technical Knowledge
  • In-depth knowledge of the National Land Code 1965 and Electricity Supply Act 1990.
  • Familiarity with standard forms of construction contracts (e.g., PAM, FIDIC) is a plus.
  • Understanding of the LSS (Large Scale Solar) bidding framework in Malaysia.
  • Bilingual Proficiency: Excellent command of English (for contracts), Chinese (for interconnection) and Bahasa Malaysia (for liaison with Government/Pejabat Tanah).
  • Negotiation Skills: Ability to negotiate terms with landowners (who may be rural individuals).
  • Mobility: Willingness to travel to site locations (often in rural areas) to meet landowners and local council officers.
