A multinational company in Malaysia seeks a Senior Executive/Assistant Manager Legal Compliance & Secretarial. The role involves drafting and negotiating contracts, ensuring compliance with Malaysian laws, and managing litigation. The ideal candidate should have at least 5 years of experience in relevant legal roles and must be an Advocate & Solicitor of the High Courts of Malaysia.
Drafting, reviewing, and negotiation: Independently responsible for drafting, reviewing, and negotiating various English and Malay contracts, including but not limited to distribution and sales agreements, procurement contracts, service agreements, NDAs, joint venture agreements, and MOUs.
Contract process optimization: Establish, maintain, and standardize contract templates and review procedures to improve contract management efficiency.
Transaction support: Provide full legal support for daily operations and key projects of the marketing, sales, procurement, and business development departments.
Regulatory compliance: Continuously monitor and analyze changes in Malaysian laws and regulations (such as the Companies Act 2016, PDPA, Consumer Protection Act, Competition Act, and SSM industry guidelines), and guide internal compliance practices.
Corporate secretarial coordination: Work closely with external company secretaries to ensure compliance with SSM filing requirements and maintain the legality of company records.
Internal policy development: Assist in formulating and updating internal compliance policies, guidelines, and codes of conduct, as well as organizing employee training.
Litigation management: Manage and coordinate litigation, arbitration, and mediation proceedings in Malaysia; lead cooperation with external counsel, formulate litigation strategies, and control related costs.
Risk identification: Proactively identify, assess, and report potential legal and compliance risks, and propose forward‑looking mitigation strategies.
Intellectual property protection: Collaborate with headquarters to manage trademark, patent, and copyright registration, maintenance, and enforcement in Malaysia.
Business partnering: Act as the single legal contact point for designated business units; participate in early project discussions and provide legally sound, business‑oriented solutions.
Cross-functional collaboration: Work closely with Finance, HR, IT, and Operations to handle legal matters involving employment, data privacy, IT procurement, etc.
Training & awareness building: Design and deliver targeted legal and compliance training for employees at all levels to strengthen company‑wide legal risk awareness.
Develop annual legal work plans for Malaysia, coordinate execution of legal tasks, and regularly report progress to the Group Legal Supervisor to ensure efficient and orderly operations.
Participate in legal team development, assist in organizing internal training and learning programs, and enhance the professional capability and performance of team members.
Bachelor’ degree or above in law or relevant field.
Certified to practice as an Advocate & Solicitor of the High Courts of Malaysian.
At least 5 to 8 years of relevant work experience, including experience in a Malaysian local law firm or as part of an in‑house legal team in a multinational company, with more than 3 years of team management experience.
Familiar with business processes and legal risk points in the manufacturing industry; possess substantive experience in the areas listed in the core responsibilities, including handling major contract disputes, intellectual property cases, and related matters.
Professional Skills: Strong knowledge of contract law, corporate law, commercial law, and related legal fields; able to independently draft and review complex contracts and legal documents; strong legal risk identification and mitigation ability; able to provide practical legal solutions aligned with business needs; well‑versed in litigation and arbitration with extensive experience in both contentious and non‑contentious legal matters.
Business Insight: Able to translate complex legal issues into business impact and provide actionable recommendations beyond pure legal opinion.
Problem‑solving & Sound Judgment: Strong analytical, negotiation, and problem‑solving skills; able to make sound judgments under pressure.
Proactiveness & Strategic Thinking: Proactively identify issues and take action, with long‑term strategic perspective.
Communication & Management Skills: Capable of clear, persuasive communication with stakeholders at all levels (management, business teams, regulators, external counsel).
Integrity & Professionalism: the highest standards of ethics and professionalism; meticulous, responsible, resilient, and committed to confidentiality.
Industry experience in Manufacturing, Technology or Telecommunications will be added advantage.
Familiarity with international trade law and cross‑border transactions will be added advantage.
Mandarin Speaking will be added advantage, which to communicate with China colleagues from HQ.
