Job summary

YCP Group is a Singapore-based advisory and investment firm expanding its Group Legal and Compliance function. We seek a hands-on Legal Counsel (Associate) to manage Group-level matters across global operations, including M&A, governance, compliance, corporate secretarial, employment and contracting.

Qualifications

• LLB or equivalent, admitted to the bar in Malaya or a Commonwealth jurisdiction.
• 4–6 years post-qualification experience in corporate/M&A.
• Experience in M&A, corporate transactions, and contracting.
• Fluent in English; Bahasa Malaysia expected; Mandarin or Japanese a plus.

Responsibilities

• 1) M&A & corporate transactions: support acquisitions, mergers, investments, joint ventures, and restructurings.
• 2) Group governance & policy: draft/review group policies and ensure consistency with framework.
• 3) Compliance: design/implement compliance framework across jurisdictions.
• 4) Corporate secretarial: support group holding entity secretarial matters and filings.
• 5) Employment: advise on cross-border employment matters and templates.
• 6) Contracting: draft/review vendor agreements, NDAs, data processing agreements.
• 7) Legal operations: develop processes, templates, and knowledge management.
• 8) Disputes: support pre-litigation matters and coordination with external counsel.
