Responsibilities

• Legal Risk Management: Analyse complex legal risks & opportunities across Malaysia, Singapore and Brunei law (including company law, competition law, anti-corruption law, personal data law, food law, intellectual property law, property/land law, environment law) and build legal strategies to support continuous business growth.
• Conduct legal watch, identify weak signals, and maintain knowledge of emerging trends that may impact the BU.
• Implement and apply Danone guidelines and policies to reduce legal risk and protect the assets of the BU.
• Identify potential areas of legal vulnerability and develop/implement corrective action plans.
• Manage legal process systems (e.g., intellectual property, contracts management policy, confidentiality, dawn raid, personal data privacy processes, e-CVM).
• Manage bi-yearly corporate and litigation reporting to headquarters; advise on local corporate law requirements and support internal governance.
• Ensure collaboration with internal stakeholders related to internal audit, internal control, risk management, process improvement and efficiency.
• As a permanent member of the crisis management team in BU, participate in and manage legal issues within the crisis management framework.
• Corporate Compliance & Legal Dispute: Lead management of legal disputes, crises, conflicts with consumers, government/enforcement authorities, competitors and other stakeholders; liaise with external law firms as needed.
• Legal Contracts: Manage, draft and negotiate all complex business contracts including sales and distribution contracts, services agreements, and other commercial contracts as required by the BU.
• Legal & Compliance Advice: Provide strategic legal vision and advice to enable achievement of strategic business objectives.
• Danone Corporate Legal Policies: Lead implementation and become the subject matter expert on various business conduct policies (Code of Conduct, anti-competition, anti-corruption, anti-money laundering, data privacy, confidentiality, conflict of interest, dawn raid protocol, confidentiality policy, international trade sanctions, etc., excluding HCS/BMS/Integrity compliance policies).
• Deploy and conduct training at local level on Danone Corporate Legal policies to develop and communicate the Legal program and processes across BUs.
• Lead the annual drive to implement an effective legal program within BUs; anticipate and evaluate emerging legal trends and strengthen the legal culture within BUs.
• Danone Ethics Line: Communicate and socialize the Danone Ethics Line (whistleblowing channel) to stakeholders (internally and externally).
• Audit & Compliance to Corporate Legal Policies: Act as the Business Process Owner on designated internal control topics and contribute to internal legal audits and quarterly monitoring to identify vulnerabilities, opportunities and risks.
