Job description

We are seeking a highly motivated and detail-oriented Executive, Company Secretarial to support the Company Secretarial Department in ensuring full compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and the Malaysian Code on Corporate Governance.

Requirements:
  • A minimum of 3 - 5 years of relevant company secretarial experience.
  • MAICSA membership or Licensed Company Secretary qualification is required.
  • Degree in Corporate Administration, Law, Business Administration, Accountancy, or related fields.
  • Experience in handling listed companies is a strong advantage.
  • Sound knowledge of secretarial practice, the Companies Act 2016, Bursa Malaysia Listing Requirements, Malaysia Code on Corporate Governance, and other applicable rules and regulations.
  • Detail-oriented with strong organisational, communication, and advising skills.
  • Proactive, resourceful, independent, meticulous, and capable of multitasking with a strong sense of responsibility, ownership, and commitment.
  • A good team player with strong interpersonal and communication skills, able to work effectively with minimal supervision.
  • Proficient in Microsoft Office, and other relevant office and regulatory systems including MBRS, MyCoID, MyData, and e-Info.
Key Responsibilities:
  • Assist in organizing and managing meetings of the Board of Directors (“Board”) and shareholders, including coordinating, preparing, and distributing all relevant meeting materials.
  • Attend Board Committee and Management Committee meetings, accurately record the proceedings, prepare minutes, and promptly communicate key decisions and directives to the relevant parties for follow-up and action tracking.
  • Provide quality company secretarial and governance advisory support to the Board, Board Committees, and senior management in line with best governance practices.
  • Ensure timely lodgment of statutory forms and returns with the Companies Commission of Malaysia (SSM), Bursa Malaysia, and other relevant authorities.
  • Maintain and update statutory registers, records, and corporate documents for the company and its subsidiaries.
  • Assist in the preparation and review of announcements, disclosures, and governance statements for Bursa Malaysia and the Annual Report.
  • Liaise with regulatory authorities, auditors, and external professionals on corporate secretarial and compliance matters as required.
  • Participate in corporate exercises such as share buy-backs, dividends, appointments, and restructuring.
  • Execute any other job responsibilities as assigned by the superior or any other persons designated by the Company.
