Our #MKAGroupLegal is expanding! The Company Secretary (Manager) will be responsible in ensuring the Group complies with legal and regulatory requirements while supporting the Board and Management in corporate governance matters. This role will play a critical role in maintaining statutory records, statutory filings, organizing board meetings and advising on corporate governance best practices.

Responsibilities

Provide general administrative and technical corporate secretarial support to the Group by ensuring timely and accurate submission of statutory returns / documents to SSM and other relevant authorities in compliance with Companies Act 2016 and related laws and regulations.

Coordinate and prepare documents required for financing and by business units within the Group such as board resolutions, director information, company profiles and other information of all the subsidiaries within the Group.

Liaise and coordinate with local company secretary or secretarial management firms in other countries where the Group operates.

Assist in organising and attendance of Board and Committee Meetings within the Group. Drafting of notice of meeting, meeting agenda, circular resolutions and meeting minutes.

Support general office administration including document filing, inventory and attending to correspondence from statutory authorities.

Maintain proper records and custodianship of licenses, material agreements / contracts and certifications of the Group.

Provide ad hoc administrative support to the Management as required or as may be directed by the Head of Legal & Compliance.

Requirements

Qualification in ICSA / MAICSA or such equivalent qualifications and possessing a valid SSM practicing certificate with at least 5 years of relevant experience in company secretarial roles preferably within a corporate secretarial firm or public listed company.

Familiarity with Companies Act 2016, SSM procedures, Bursa Listing Requirements and corporate governance guidelines.

Required language(s): English, Bahasa Malaysia, Mandarin (to deal with Mandarin speaking stakeholders from overseas).

Strong organizational skills and attention to detail.

Proficient in Microsoft Office (Word, Excel, PowerPoint).

Additional Info

5-days work week, Mon-Fri from 9am to 6pm.

We are fully on-site.
