Job description

We are seeking an experienced Capital Markets Manager to lead our group’s fundraising and capital market initiatives on NASDAQ. Based in Hong Kong, this role plays a critical part in driving IPOs, follow-on offerings, private placements, and convertible bond projects while collaborating with global partners and regulatory bodies.

The ideal candidate will have a strong background in U.S. securities regulations, capital structuring, and cross-border financing. You will work closely with senior management, investment banks, and legal advisors to shape the Group’s capital market strategy and ensure full compliance with SEC and NASDAQ requirements.

Location: Hong Kong (collaboration with Malaysia/Shenzhen teams as required by project needs)

Key Responsibilities:

  • Lead the Group’s capital market projects on NASDAQ, including IPOs, follow-on offerings, private placements, and convertible bond (CB) issuances;
  • Coordinate and manage partnerships with ATIS, AXOS, UZen, as well as external law firms and accounting firms;
  • Plan and design the Group’s financing roadmap and capital structure, including equity, debt, warrants, and convertible instruments;
  • Prepare and oversee the disclosure of SEC filings such as S-1, S-3, 8-K, 10-K, 10-Q, and 424B3;
  • Familiar with SEC registration and NASDAQ listing procedures, able to independently liaise with investment banks and regulators;
  • Well-versed in Securities Act, Exchange Act, Regulation S, and Regulation D;
  • Analyze market windows and investment structures, providing strategic capital market recommendations to senior management.

Requirements:

  • Bachelor’s degree or above in Finance, Law, Accounting, or related fields;
  • 5+ years of experience in capital markets, investment banking, or listed companies;
  • Solid understanding of S-1/S-3 filings, follow-on offerings, convertible bonds, and warrants;
  • Fluent in English, capable of independently communicating with U.S. investment banks, legal counsels, and the SEC;
  • Strong project management and cross-department coordination skills.

Preferred Qualifications:

  • Previous experience with a NASDAQ-listed company, U.S. investment bank, international law firm, or Big Four accounting firm;
  • Familiarity with PIPE, Regulation D, Regulation S, and ATM financing tools;
