Capwise Financial Services Private Limited in Mumbai seeks an experienced Investment Banking professional focused on transaction execution in the Industrial vertical. You will support deal sourcing, finalize mandates, and lead execution under senior guidance.

Responsibilities include mandate closure, end-to-end deal management (PE, IPO, structured finance, M&A), financial modeling, data room setup, due diligence coordination, and assembling definitive documents, while mentoring associates.

Qualificações

• MBA from a Tier-1/Tier-2 business school, Chartered Accountant (CA), or CFA (or actively pursuing CFA).
• 5 to 7+ years of core investment banking experience within a reputed IB firm, institutional platform, or boutique advisory house.
• A proven track record of independently leading mid-cap M&A and fundraising transactions from mandate to closure, with an demonstrable list of successfully executed deals.
• Deep domain knowledge, regulatory understanding, and active investor networks within the Industrial vertical.
• Strong negotiation skills, sound understanding of legal documentation/deal structures, and sharp analytical acumen.

Responsabilidades

• Pitch to win and onboard clients with bespoke execution strategies that convert prospects into clients.
• Draft, negotiate, and finalize Mandate Letters, Engagement Agreements, and fee structures, ensuring the commercial interests of the firm are protected.
• Lead lifecycle of capital raising (PE, IPO, Structured Finance) and M&A transactions.
• Supervise financial modeling and valuation analyses (DCF, comparable companies, precedent transactions).
• Prepare pitch books, CIMs, Teasers, and Management Presentations.
• Set up and manage Virtual Data Rooms (VDR), ensuring smooth information flow between clients, investors, and buyers.
• Coordinate financial, legal, tax, and commercial due diligence processes and resolve deal-breakers.
• Negotiate and finalize Share Purchase Agreements (SPA), Share Subscription Agreements (SSA), SHA, and other definitive documents.
• Lead a team of Associates and Analysts; manage client relationships with C-suite executives and promoters.

Job Description

We are seeking an experienced Investment Bankingprofessional for our Industrial vertical. Unlike many investment banking roles,this position is primarily focused on transaction execution rather than coldorigination. The firm will support deal sourcing and introductions.

Your role begins once a prospect is identified or awarm introduction is made. You will support the presentation of the firm'sexecution capabilities, assist in finalizing mandate documents, and lead orco-lead the execution of fund-raising (equity/debt) and Mergers &Acquisitions (M&A) transactions under the guidance of senior deal leads.

Key Responsibilities

• 1. Mandate Closure & Onboarding
  • Pitch to Win: Partner with the origination team during initialintroductions to present deep sectoral knowledge and bespoke executionstrategies that convert prospects into clients.
  • MandateStructuring: Draft, negotiate, andfinalize Mandate Letters, Engagement Agreements, and fee structures, ensuringthe commercial interests of the firm are protected.
• 2. End-to-End Deal Execution
  • TransactionManagement: Lead and oversee theentire lifecycle of capital raising (PE, IPO, Structured Finance) and M&A(buy-side, sell-side, joint ventures) transactions.
  • FinancialModeling & Valuation: Supervisethe creation of complex financial models, valuation analyses (DCF, comparablecompanies, precedent transactions), and investment thesis formulations.
  • CollateralPreparation: Ensure the highestquality production of pitch books, Confidential Information Memorandums (CIMs),Teasers, and Management Presentations.
  • Data RoomManagement: Setup and oversee VirtualData Rooms (VDR), managing the flow of information between clients, investors,and buyers.
  • Due DiligenceCoordination: Lead the financial,legal, tax, and commercial due diligence processes, actively resolvingdeal-breakers and bottlenecks.
  • DefinitiveDocumentation: Collaborate with legalcounsels to negotiate and finalize Share Purchase Agreements (SPA), ShareSubscription Agreements (SSA), Shareholders' Agreements (SHA), and otherdefinitive transaction documents.
• 4. Team Leadership & StakeholderManagement
  • PodLeadership: Manage, mentor, andmaximize the productivity of a dedicated team of Associates, andAnalysts within your vertical.
  • Client Management: Act as the primary, trusted point of contact forC-suite executives and promoters throughout the execution cycle, managingexpectations and maintaining momentum.
