One Story is hiring a Senior Associate for its Mergers & Acquisitions practice in Bangalore and Kolkata. The role covers client delivery, restructuring advisory and corporate legal support within a business consulting context.

The candidate will draft and review transaction documents, perform due diligence, and advise on schemes of arrangement, buy/sell processes and regulatory filings. Strong M&A and tax knowledge required.

Qualifications

Responsibilities & Scope of Work

• Drafting and reviewing client deliverables including reports, proposals, advice, opinions, and presentations.
• Identifying restructuring options based on commercial objectives of proposed reorganizations.
• Conducting detailed fiscal and regulatory reviews involving direct tax, company law, SEBI, FEMA, stamp duty, accounting, and commercial implications.
• Reviewing transaction documents such as business transfer agreements, share purchase agreements, subscription agreements, trust deeds, and asset sale/purchase agreements.
• Implementing schemes of arrangement (merger, demerger, capital reduction), including drafting schemes, applications, petitions, and attending NCLT hearings.
• Undertaking buy-side/sell-side tax due diligence of target companies.
• Drafting documents for corporate actions like issuance of securities and buybacks.
• Supporting client pitching by identifying restructuring ideas and opportunities.
• Contributing to knowledge management and sharing tools.
