Job summary

SyncUp in Bengaluru is seeking a Senior Associate for Merger & Acquisition to support client delivery across restructuring and deal documentation. You will draft and review reports, proposals and opinions, and assist in identifying restructuring options aligned with management objectives.

You will participate in due diligence, analyze tax, regulatory and corporate implications, and help prepare and file scheme documents, notices, and petitions, including attendance at NCLT hearings when

Responsibilities

• Drafting and reviewing deliverables such as reports, proposals, advice, opinions, emails and presentations for clients.
• Identify restructuring options based on management’s commercial objectives for the proposed reorganization.
• Highlight issues in engagements and propose potential solutions.
• Conduct detailed fiscal and regulatory review of proposed restructurings (tax, company law, SEBI, FEMA, stamp duty, accounting).
• Review documents like business transfer agreements, share purchase agreements, subscription agreements, trust deeds, and asset sale/purchase agreements.
• Implement scheme of arrangement (merger/demerger/capital reduction), draft scheme, petitions, notices, and attend NCLT hearings.
• Perform buy-side/sell-side tax due diligence on target companies.
• Draft documents for corporate actions including securities issuance and buy backs.
• Support in pitching for new clients by studying restructuring ideas and opportunities.
• Contribute to knowledge management and knowledge-sharing tools via formal and informal methods.

Client Delivery

• Identification of the available restructuring options based on understanding of the commercial objectives of the proposed reorganization being contemplated by the management.
• Responsible for identifying and highlighting issues involved in various engagements and presenting potential solutions.
• Undertaking detailed fiscal and regulatory review of the proposed reorganization – this would involve evaluation of the various direct tax, company law, SEBI, FEMA, stamp duty, accounting and commercial implications of the available options.
• Review of transaction documents such as business transfer agreement, share purchase agreement,subscription agreements, trust deeds, asset sale/purchase agreements, etc.
• Responsible for implementing the scheme of arrangement (merger/ demerger/ capital reduction/etc) including drafting scheme, application, petition, notice of meeting, etc and attending NCLT hearings.
• Undertaking buy side/ sell side tax due diligence of the Target Company.
• Responsible for drafting the documents for various corporate actions including issuance of securities, buy back, etc.
• Support in pitching for new clients – undertaking a detailed study to identify possible restructuring ideas/ opportunities.
• Assist in knowledge management – contribute information to knowledge sharing tools, share knowledge and experience via formal and informal methods.
