Job summary

Capwise Financial Services Private Limited in Mumbai seeks a Senior Associate for the IT, Software and Services execution team. The role focuses on hands-on preparation of deal materials, financial models, and transaction analysis, with some deal sourcing support.

You will build financial models, draft CIMs and presentations, support data room management, and coordinate due diligence. The position offers ownership of workstreams and mentorship of Analysts within a collaborative deal team.

Qualifications

• MBA from a reputed business school, CA, or CFA (or actively pursuing CFA).
• Approximately 4 to 5 years for Senior Associate, in investment banking, transaction advisory, corporate finance, or a comparable execution role, ideally with exposure to the IT, Software & Services sector.
• Advanced financial modeling and valuation capability, with expert-level proficiency in Excel and PowerPoint and a strong grasp of accounting and corporate finance.
• Working knowledge of M&A and capital-raising processes and the documentation involved; prior exposure to closed transactions is an advantage.
• Meticulous attention to detail, strong written communication for IM drafting, and the ability to manage multiple workstreams under deadline pressure.

Responsibilities

• Financial Modeling: Build and maintain detailed operating models, DCF, comparable company and precedent transaction analyses, LBO/returns models, and sensitivity and scenario analyses.
• Valuation Analysis: Prepare valuation outputs and support the development of the investment thesis under the guidance of senior bankers.
• Marketing Materials: Draft Confidential Information Memorandums (CIMs/IMs), Teasers, pitch books, and Management Presentations to a high quality and accuracy standard.
• Board & Client Materials: Prepare board packs, investor updates, and bespoke analyses that support live deal discussions and client decision-making.
• Quality Control: Ensure consistency, accuracy, and a high quality bar across all outputs before they reach clients and counterparties.
• 3.Due Diligence & Process Management: Data Room Management, set up and manage VDRs, track information requests, coordinate flow of information.
• Due Diligence Support: Support the financial, legal, tax, and commercial due diligence processes, helping resolve queries and keep workstreams on track.
• Process Coordination: Maintain process trackers, buyer/investor lists, and Q&A logs to keep transactions organized and on timeline.
• 4.Research & Team Collaboration: Market Research on IT services, software, and tech-enabled services; collaborate with senior bankers and mentor Analysts.

Position Overview

Weare seeking an Senior Associate to join our IT, Software & Servicesexecution team. Unlike many investment banking roles, this position is focusedon the hands-on preparation of deal materials, financial models, andtransaction analysis rather than cold origination. The firm will support dealsourcing and introductions.

Workingas part of a deal team, you will build the financial models, draft themarketing materials, and run the analytical workstreams that move fund-raising(equity/debt) and Mergers & Acquisitions (M&A) transactions fromkick-off to close. The Senior Associate level carries greater ownership ofworkstreams and early responsibility for guiding Analysts.

KeyResponsibilities
