Job summary

GlobalFoundries in India seeks a Commercial Agreements Lead responsible for NDA templates, playbooks and drafting, negotiating, and closing sales agreements with customers. You will review templates, redline NDAs, and ensure governance with signed approval packages, while advising on terms and risk across functions.

You will mentor other contract professionals and assist senior attorneys, supporting reporting and compliance within GF’s commercial operations.

Qualifications

  • Education – bachelor’s degree.
  • Experience – 8–12 years in transactional work, including federal government contracting.
  • Strong drafting and negotiation skills; excellent verbal and written communication.
  • Knowledge of New York law applicable to sales agreements and NDAs.

Introduction

Commercial Transactions Professional specializing in nondisclosure agreements (“NDAs”) and customer sales agreements for business-to-business transactions for custom product development and high-volume sales of goods. This position reports to the V.P. & Counsel of Commercial Agreements, Legal and Corporate Affairs. This role is responsible for leading the development of nondisclosure agreement templates, fallback terms and conditions and the review and redline of NDAs and for drafting, negotiating and closing sales agreements with GF’s customers.

Your Job
  • Lead GF’s NDA contract template development and playbook.
  • Review and redline customer template agreements and redlines of GF NDAs.
  • Draft and negotiate sales agreements with customers and internal clients to obtain deal closure.
  • Ensure all signed agreements meet governance requirements, including creating approval packages for signed deals.
  • Provide advice to various functional areas of the business on contract terms and conditions, including identifying and mitigating risks, and the impact and application of contract terms and the law to resolve issues.
  • Provide advice and guidance and direction to other contract professionals on NDA terms and conditions.
  • Assist more senior attorneys and contract professionals on sales agreements.
  • Compile reports on sales agreements.
Other Responsibilities
  • Perform all activities in a safe and responsible manner and support all Environmental, Health, Safety & Security requirements and programs.
  • Other duties as assigned by manager.
  • Perform administrative work related to managing and closing contracts.
  • Use available contract lifecycle management and AI tools GF uses to support its contracting functions.
Required Qualifications
  • Education – bachelor’s degree
  • Experience - Minimum of 8-12 years in transactional work in a relatable field, which includes work in federal government contracting.
  • Skills - Excellent contract drafting skills; excellent negotiation skills; effective communication skills, including the ability to communicate effectively in both verbal and written form with all levels of employees throughout the company; ability to solve problems and think creatively to solve complex contracting issues; knowledge of NewYork law applicable to sales agreements and NDAs.
  • Travel - Up to 10%
  • Fluency in English Language – written & verbal
Preferred Qualifications
  • JD preferred but not required.
