Job summary

Tata Power Company seeks an experienced legal professional to manage corporate law, regulatory compliance and governance across the organization. You will provide timely legal advice, evaluate complex disputes, and support transactional activities and due diligence.

The role involves drafting and reviewing contracts, coordinating with external counsel, and guiding land-related transactions with diligence and risk mitigation. Energy sector exposure is a plus.

Role & responsibilities

• An individual with comprehensive understanding of corporate law, regulations, and governance principles.
• Should have a proven track record of managing legal issues and providing effective solutions.
• Should have deep understanding of legal complexities and have strong analytical skills, exceptional attention to detail, and the ability to provide timely and sound legal advice to various departments within the organization.
• An individual who has relevant experience in-an house or law firm setup, preferably in corporate law, documentation as well as disputes.
• Should have a strong knowledge of contract law, company law, real estate law, employment law, procedural laws.
• Having prior experience/knowledge of energy laws is preferable but not mandatory.

You would be responsible for

1. Legal Advisory:

• Conducting comprehensive legal research, analyzing case laws, regulations to provide legal advice and guidance to various stakeholders.
• Analyzing complex legal issues, interpreting laws and providing well-founded legal opinions and guidance to support the organizations decision-making process.

2. Documentation:

• Drafting, reviewing, negotiating and finalizing various agreements and other legal documents while ensuring that these documents comply with regulatory requirements and mitigate legal risks.

3. Litigation Support:

• Preparing case summaries and materials, conducting legal research, and coordinating with various internal stakeholders for drafting of the pleadings.
• Reviewing and finalizing pleadings.
• Collaborating with external counsel in managing litigation and dispute resolution.
• Attending proceedings before various courts/fora
• Reviewing Marathi litigation documents and advising on legal and procedural aspects.

4. Transactions

• Collaborating with cross-functional teams and external counsel in legal due diligence processes for mergers and acquisitions, investments, divestments, lending transactions
• Drafting, review, and negotiation of transaction documentation including term sheets, definitive agreements and closing documentation.
• Advising on and supporting land acquisition, land disposal/sale transactions, including legal due diligence, title verification, transaction structuring, documentation, and closing activities.
• Advising on the structuring, and related ancillary activities.

5. Risk Mitigation:

• Staying updated on all legal developments and actively identifying potential legal risks and vulnerabilities, taking proactive measures to mitigate such risks and protect the organization's interests.
