HFCL is seeking a Manager/Senior Manager – Contract Management in Goa to manage customer-driven international contracts for optical fibre products. You will review, negotiate, and administer contracts across USA, Europe, and MENA regions, coordinating with Sales, SCM, Finance, Projects, and Operations.

Ideal candidates have 8–15 years in contract management within manufacturing, EPC, telecom, or infrastructure, with strong exposure to OEM product sales contracts and cross-border governance.

Formación

• Experience in contract management / legal contracts in manufacturing, EPC, telecom, or infrastructure sectors.
• Strong exposure to OEM product sales contracts, preferably optical fibre, cables, telecom, or technology products.
• Hands-on experience with customer-driven international contracts.
• B.Tech and international/commercial law certifications are advantageous.

Responsabilidades

• Review, analyze, and negotiate customer contracts, MSAs, framework agreements, and long-term supply contracts for international markets.
• Interpret terms related to scope of supply, pricing, delivery, payment, warranties, indemnities, liability limits, and termination.
• Coordinate with internal teams to ensure contracts align with risk appetite and business objectives.
• Advise on governing law, jurisdiction, and cross-border implications; support external counsels when needed.
• Maintain contract records, trackers, and compliance checklists; monitor amendments and renewals.

Role Purpose

To manage, review, negotiate, and administer customer-driven international contracts related to the sale of optical fibre and optical fibre cables, ensuring contractual compliance, risk mitigation, and protection of the organization’s commercial and legal interests across USA, Europe, and MENA regions.

Key Responsibilities

Contract Review & Negotiation

• Review, analyze, and negotiate customer contracts, framework agreements, MSAs, supply agreements, and long-term contracts for international markets.
• Interpret complex contractual terms related to scope of supply, pricing, delivery, payment terms, warranties, indemnities, limitations of liability, and termination.
• Ensure contracts align with organizational risk appetite and business objectives.

International Legal Compliance

• Handle contracts governed by US, UK/EU, and MENA laws, including understanding of jurisdiction-specific legal nuances.
• Advise internal stakeholders on legal implications of cross-border contracts and governing law clauses.
• Coordinate with external legal counsels where required for jurisdiction-specific advice.

Risk, Liability & Insurance

• Assess contractual risks including product liability, consequential damages, liquidated damages, force majeure, and change-in-law provisions.
• Review and negotiate liability caps, indemnification clauses, and exclusions.
• Ensure alignment of contract obligations with company insurance policies (product liability, professional indemnity, marine insurance, etc.).

Stakeholder Management

• Work closely with Sales, SCM, Finance, Projects, and Operations teams to provide contract-related guidance.
• Support bid/tender teams during pre-award contract evaluations and risk assessments.
• Act as a single point of contact for contract clarifications during execution.

Contract Administration & Governance

• Maintain contract records, trackers, and compliance checklists.
• Monitor contractual obligations, amendments, deviations, and renewals.
• Support dispute resolution, claims management, and contract closure activities.

Educational Qualification

• B.tech
• Additional certification in International Contract Law / Commercial Law will be an advantage.

Experience

• 8–15 years of experience in contract management / legal contracts within manufacturing, EPC, telecom, or infrastructure sectors.
• Strong exposure to OEM product sales contracts (preferably optical fibre, cables, telecom, or technology products).
• Hands‑on experience with customer-driven international contracts.
