Responsibilities

  • Support Head of Corporate Governance, Ireland with governance and secretarial administration for the senior executive management committee in Ireland.
  • Coordinate committee processes: agenda planning, logistics, paper collation, minutes, actions, records.
  • Advise on governance standards and policies across Ireland and Europe.
  • Draft and circulate resolutions for senior executive committee approvals.
  • Maintain governance records: terms of reference, membership lists, agendas, trackers and approvals.
  • Assist with development and enhancement of procedures, templates, controls and guidance for executive committees across Ireland and Europe.

The role is responsible for helping ensure that committees operate in line with applicable legal and regulatory requirements, governance best practice, and Group policies. In addition, the role will provide regulatory, operational, and administrative support to the Head of Corporate Governance, Ireland to support the continued growth and evolving governance needs of the TD Securities platform across Europe.Main Responsibilities:Support the Head of Corporate Governance, Ireland with the governance and secretarial administration and act as Secretary of the senior executive management committee in Ireland.Coordinate committee processes, including agenda planning, meeting logistics, paper collation, minute preparation, action tracking, and maintenance of accurate committee records.Assist in ensuring that the senior executive management committee is administered in accordance with applicable legal and regulatory requirements, governance best practice expectations, and relevant Group policies.Provide regular advice, guidance, and practical support to colleagues responsible for the administration of the sub-committees of the senior executive management committee in Ireland and the senior executive management committee in the UK including its sub-committees, helping to promote consistency of governance standards, meeting practices, documentation, and record keeping.Drafting and circulating written resolutions for the senior executive committee approvalsMaintain accurate and up-to-date governance records for the senior executive committee, including terms of reference, membership lists, forward agendas, action trackers, meeting schedules, and records of approvals.Drafting relevant committee memos as required by the Head of Corporate Governance, Ireland and Head of Corporate Governance, TDS Europe & Asia PacificSupport the development, maintenance, and enhancement of procedures, templates, controls, and guidance relating to the administration of executive committees across Ireland and, where applicable, the wider European platform.Provide regulatory, operational, and administrative support to the Head of Corporate Governance, Ireland in response to the continued growth and evolving governance requirements of the TD Securities platform across Europe.Assist with responses to ad hoc governance, regulatory, internal audit, and business queries, including the collation of supporting information and documentation where required, as well as assisting with daily monitoring of team mailbox, as required.Work collaboratively with the Corporate Governance team and other governance colleagues to support consistency, resilience, and effective coverage across committee administration activities.Maintain legal documents including Authorised Signatories Lists and Powers of Attorney for all relevant legal entities in IrelandEstablish and, working with the Corporate Governance team , maintain team policies, procedures and controls for the functionUndertake additional governance, regulatory, operational, and administrative duties as required by the Head of Corporate Governance, Ireland and the wider Corporate Governance leadership team.Qualifications and experience required:Degree qualified with a strong academic backgroundIdeally 2-3 years company secretarial/governance experience and knowledge is preferableFinancial Services/regulated sector experience and knowledge is preferableStrong interpersonal skills – ability to work effectively and build strong relationships with individuals at all levels of an organisation, including senior managementKnowledge of Diligent is preferableAbility to exercise discretion and maintain confidentialityAbility to prioritise effectively and remain calm and tactful under pressureStrong research/analytical skillsExcellent organisation skills and accuracy and attention to detailStrong written communication skillsReliable, self-motivated and flexibleProficient at Outlook, Excel, Word and PowerPointWho We AreTD Securities is one of the world's leading global financial institutions and is the fifth largest bank in North America by branches/stores.
