Qualifications

• LLB from a reputable university; completion of professional advocate education is a plus.
• Minimum 8 years post-qualification experience in corporate/commercial practice or in-house at a financial institution/fintech.
• Proven track record leading legal due diligence on investments, acquisitions, or restructurings.
• Substantive corporate governance and secretarial experience at board level.
• Experience with regulated financial services or closely analogous products.
• Professional fluency in English and Indonesian, both written and spoken.

Responsibilities

• Strategic commercial contracting: draft, review and negotiate partnerships, distribution, vendor, licensing and platform agreements end to end.
• Corporate governance: manage general meetings, board resolutions, and statutory filings across the group including overseas entities.
• Regulatory and product risk: assess regulatory requirements, product launches and changes for compliance.
• Due diligence: lead workstreams on investments, acquisitions, restructurings and partnerships; own risk findings.

Role Overview

We are looking for a Senior Legal Manager to take ownership of strategic commercial contracting and corporate governance across the group. This is a senior individual contributor role reporting directly to the Head of Legal. It suits a lawyer with strong law firm training who wants the breadth, pace and commercial proximity of a high-growth regulated business, and who is ready to own a workstream rather than execute within one.

You will be close to the decisions. The legal team is deliberately small, the mandate is broad, and the work reaches the board, the regulators and the commercial leadership in equal measure.

WHAT YOU WILL OWN

Strategic commercial contracting. Drafting, reviewing and negotiating partnership, distribution, vendor, licensing and platform agreements end to end, and carrying the negotiating position through to execution.

Corporate governance and corporate secretarial. General and extraordinary general meetings, board and commissioner resolutions, statutory records, constitutional amendments and corporate filings across the group, including our overseas operations.

Regulatory and product risk. Legal assessment of our regulated products and the regulatory interface, covering licence conditions, product launch review and regulatory change.

Legal due diligence. Leading due diligence workstreams on investments, acquisitions, corporate restructuring and strategic partnerships, and owning the findings and risk positions.

Legal opinions and advisory. Producing finalised opinions, compliance assessments and advisory notes on corporate, regulatory and commercial questions.

Business partnering. Advising Product, Technology, Risk, Finance, Operations and Marketing in a form those teams can act on immediately.

Advisory support on employment and consumer matters, and instructing and supervising external counsel where a matter becomes contentious.

Legal operations. Building and maintaining templates, playbooks, standard operating procedures and intake processes that make the function faster without making it looser.

WHAT WE ARE LOOKING FOR

Bachelor of Laws (LLB) from a reputable university, with completion of the professional advocate education programme. Full bar admission is an advantage.

Minimum 8 years post-qualification experience, including at least 5 years at a leading corporate or commercial practice, or in-house at a licensed financial institution or established fintech.

Proven track record leading legal due diligence workstreams, with the ability to speak to transaction types, scale and your own role on each.

Substantive corporate governance and corporate secretarial experience, including general meetings and board level resolutions.

Experience with a regulated financial services business, or with closely analogous regulated products.

Professional fluency in English and Indonesian, written and spoken, including drafting and advising in English.

Excellent drafting and analytical ability, with the attention to detail the work demands.

Commercial judgment. You translate legal risk into a practical position the business can act on, and you know which risks are worth escalating.

Working fluency with generative AI tools in a legal context, including use for drafting, research and document review, with a clear understanding of confidentiality and output verification limits. Candidates should be prepared to describe how they use these tools in practice.

Self-direction. You organise your own priorities, work independently under pressure, and build trust across functions without relying on formal authority.

ADVANTAGEOUS

Exposure to overseas operations and to corporate law outside Indonesia.

Common law training or transactional experience in a common law jurisdiction.

Experience advising on crypto assets, securities, mutual funds or other regulated investment products.

Experience designing or implementing legal process automation, including template systems, workflow tooling or matter intake automation.
