Job Description

Key Responsibilities:

• Corporate Actions & Governance:
  • Lead and advise on corporate restructuring, mergers & acquisitions, joint ventures, and other strategic transactions.
  • Draft, review, and negotiate complex commercial agreements, including EPC contracts, supply agreements, and service contracts.
  • Ensure compliance with corporate governance standards across multiple jurisdictions.
• Regulatory & Compliance:
  • Monitor and interpret laws, regulations, and industry standards affecting oil & gas operations globally.
  • Advise on licensing, permits, and environmental compliance requirements.
  • Develop and implement compliance programs to mitigate legal risks.
• Cross-Border Operations:
  • Provide legal guidance on international projects and multi-jurisdictional operations.
  • Manage legal aspects of foreign investments, tax implications, and dispute resolution.
• Risk Management & Dispute Resolution:
  • Identify potential legal risks and propose proactive solutions.
  • Handle litigation, arbitration, and negotiations with external counsel when necessary.
• Stakeholder Engagement:
  • Collaborate with senior management, business units, and external advisors to support strategic objectives.
  • Represent the company in legal matters before regulatory authorities and industry bodies.

The Successful Applicant

Qualifications & Experience:

• Law degree (LL.B or equivalent); admission to practice in at least one jurisdiction.
• Minimum 10+ years of legal experience, with at least 5 years in oil & gas or energy sector.
• Proven track record in managing corporate actions, and multi-jurisdictional operations.
• Strong knowledge of international commercial law, regulatory compliance, and dispute resolution.
• Excellent negotiation, drafting, and communication skills.
• Ability to work in a fast-paced, dynamic environment with multiple stakeholders.
• Familiarity with EPC contracts, upstream/downstream operations, and energy regulations.
• Experience in cross-border operations.
• Fluency in English; additional languages are a plus.
