Job Description
Key Responsibilities:
- Corporate Actions & Governance:
- Lead and advise on corporate restructuring, mergers & acquisitions, joint ventures, and other strategic transactions.
- Draft, review, and negotiate complex commercial agreements, including EPC contracts, supply agreements, and service contracts.
- Ensure compliance with corporate governance standards across multiple jurisdictions.
- Regulatory & Compliance:
- Monitor and interpret laws, regulations, and industry standards affecting oil & gas operations globally.
- Advise on licensing, permits, and environmental compliance requirements.
- Develop and implement compliance programs to mitigate legal risks.
- Cross-Border Operations:
- Provide legal guidance on international projects and multi-jurisdictional operations.
- Manage legal aspects of foreign investments, tax implications, and dispute resolution.
- Risk Management & Dispute Resolution:
- Identify potential legal risks and propose proactive solutions.
- Handle litigation, arbitration, and negotiations with external counsel when necessary.
- Stakeholder Engagement:
- Collaborate with senior management, business units, and external advisors to support strategic objectives.
- Represent the company in legal matters before regulatory authorities and industry bodies.
The Successful Applicant
Qualifications & Experience:
- Law degree (LL.B or equivalent); admission to practice in at least one jurisdiction.
- Minimum 10+ years of legal experience, with at least 5 years in oil & gas or energy sector.
- Proven track record in managing corporate actions, and multi-jurisdictional operations.
- Strong knowledge of international commercial law, regulatory compliance, and dispute resolution.
- Excellent negotiation, drafting, and communication skills.
- Ability to work in a fast-paced, dynamic environment with multiple stakeholders.
- Familiarity with EPC contracts, upstream/downstream operations, and energy regulations.
- Experience in cross-border operations.
- Fluency in English; additional languages are a plus.
