Job summary

Simmons & Simmons is seeking an Adaptive consultant for our Hong Kong program, supporting a large-scale merger and ongoing integration projects. You will work with a sponsoring Partner and a dedicated client team, delivering legal and regulatory advice and drafting a range of commercial and asset management agreements.

You will collaborate with business, compliance and risk teams across the region, coordinate with external counsel, and access the firm’s resources and professional development

Qualifications

• Qualified lawyer with approximately 6+ years' PQE.
• Experience in asset management, investment funds, or financial services.
• Exposure to the Hong Kong asset management regulatory environment.
• Experience supporting regional matters, including Singapore, would be advantageous.
• Candidates with M&A or corporate transaction experience, particularly post-merger integration experience, are also of interest.

Responsibilities

• Support legal workstreams relating to a large-scale merger, integration and business transformation project.
• Advise on legal and regulatory matters arising throughout the integration process.
• Draft, review and negotiate a range of commercial and investment management agreements.
• Provide legal support across retail and investment funds, including Investment Management Agreements (IMAs), Distribution Agreements (DAs), advisory agreements and other asset management documentation.
• Work closely with business, compliance, risk and operations teams across the region.
• Support regulatory and governance matters connected with the integration.
• Manage and coordinate with external counsel where required.
