H-Share Securities Compliance Counsel — Recruitment
Location: Hong Kong (with occasional work in Shenzhen)
Compensation: HKD 1,500,000+ per annum (negotiable based on experience)
PQE: 3–5 years' post-qualification experience
About the Role
A growing number of A-share listed companies are pursuing H-share listings in Hong Kong. We are looking to hire an experienced H-share securities compliance lawyer to join our team in serving these A+H listed issuers on their information disclosure and securities compliance matters.
This is a client-facing, technical role. You will work directly on disclosure and regulatory compliance for A+H dual-listed issuers — the full spectrum of Hong Kong and Mainland disclosure obligations, not a narrow document-processing function.
Key Responsibilities
- Advise A+H listed issuers on ongoing information disclosure and securities compliance obligations
- Handle periodic reporting, price-sensitive information disclosure, inside information and connected transaction matters
- Manage notifiable transactions, circulars and other Hong Kong listing rule–driven filings
- Liaise with issuers, sponsors, banks, auditors and other professional parties on live transactions and compliance projects
- Support transaction-focused compliance work where clients are pursuing further Hong Kong capital markets activity
Requirements
- 3–5 years' PQE in securities compliance, capital markets or regulatory compliance work
- Hands-on experience with Hong Kong listed issuers or capital markets transactions; exposure to dual-listed (A+H) issuers is a strong advantage
- Solid working knowledge of the Hong Kong Listing Rules and the SFC's disclosure regime; familiarity with the Mainland disclosure framework is highly valued
- Fluent written and spoken English and Chinese (Mandarin essential; Cantonese an advantage)
- Able to work independently, communicate directly with clients, and coordinate across professional parties
- Detail-oriented, commercially sensible, and comfortable owning matters end to end
Working Arrangements
- Location: Hong Kong, with work in Shenzhen where necessary
- Hours: Normal working hours. Intense periods are concentrated around the March annual report disclosure season; outside of that, overtime is limited
- Travel: Some travel required to participate in project discussions and negotiations with clients
- No business-development pressure: There is no client-acquisition target. Our pipeline of projects is strong and well established, so the focus is entirely on doing the work well
What We Offer
- A steady stream of A+H listing and compliance projects — genuinely strong deal flow
- Direct exposure to issuers and professional parties, with real responsibility on matters
- Competitive compensation at HKD 1.5 million+ per annum
- A focused compliance practice without the pressure of carrying a book of business
Shortlisted candidates will be contacted for a conversation.
