Job description

Do you have experience leading SOX 404(a) compliance assessments, evaluating internal controls over financial reporting and identifying practical improvements to financial control environments within US-listed organisations?

This consulting opportunity is to support our client, a US-listed organisation, in undertaking an independent assessment of its existing SOX 404(a) compliance and internal financial controls framework. The project will assess the current control environment, identify potential gaps, weaknesses and areas of risk, and provide practical, prioritised recommendations to strengthen compliance and support management's ongoing SOX 404(a) responsibilities.

We are looking for an experienced SOX and Internal Controls Consultant who can independently lead this assessment, engage effectively with senior finance stakeholders and provide proportionate, commercially pragmatic recommendations appropriate to the organisation's size and complexity.

Key Services
  • Review the organisation's existing SOX 404(a) compliance framework, including its approach to assessing internal controls over financial reporting.
  • Assess the adequacy of current control design, documentation, governance and management oversight arrangements.
  • Review relevant financial reporting processes, key controls, risk assessments and existing supporting documentation to identify potential compliance gaps.
  • Identify control gaps, potential weaknesses and areas where documentation, processes or oversight could be strengthened.
  • Assess the appropriateness and proportionality of the existing control framework, taking account of the organisation's scale, complexity and risk profile.
  • Develop a prioritised set of practical recommendations, distinguishing between immediate priorities and longer-term improvements.
  • Present findings and recommendations to senior finance stakeholders, including a proposed approach to addressing any material gaps identified.

Experience supporting smaller US-listed organisations, businesses undergoing significant change, or organisations with lean finance functions would be particularly advantageous.

Mandatory Requirements
  • Significant practical experience in SOX compliance, specifically Section 404(a) and internal controls over financial reporting.
  • Experience leading SOX risk and controls assessments, including evaluating control design, documentation and compliance gaps.
  • Understanding of US financial reporting compliance requirements and management's responsibilities under SOX 404(a).
  • Experience identifying, assessing and prioritising financial reporting control weaknesses and recommending proportionate improvements.
  • Excellent analytical, written and verbal communication skills, including the ability to present clear, actionable findings.
